This Services Agreement (hereinafter referred to as the ”Agreement) ”Agreement) is made and entered into on xx xx, 201x, by and between:

First Party and Second Party under respective circumstances hereinafter be individually referred to as the “Party” and collectively referred to as the “Parties”
Pihak Pertama dan Pihak Kedua, dalam keadaannya masing-masing secara sendirisendiri disebut sebagai “Pihak” dan secara bersama-sama disebut ”Para Pihak”.
The First Party and the Second Party in their respective capacity aforesaid hereby first state as follows:
Pihak Pertama dan Pihak Kedua selanjutnya dalam kedudukannya masing-masing seperti disebutkan di atas terlebih dahulu menerangkan sebagai berikut :
a. The First Party desires to use the Services (as defined in Article 1 ) rendered by the Second Party to perform and complete some of the work of the whole work.

THEREFORE, based on the above mentioned matters, the Parties on the basis of good faith and mutual trust, agree to be bound to each other by this Agreement under the following terms and conditions:
OLEH KARENA ITU, berdasarkan hal-hal tersebut di atas, Para Pihak atas dasar itikad baik dan saling percaya, sepakat untuk saling mengikatkan diri dengan Perjanjian ini dengan syarat-syarat dan ketentuan-ketentuan berikut sebagai berikut:
Article 1 DEFINITION AND INTERPRETATIONS
Pasal 1 DEFINISI DAN PENGERTIAN
1.1 For the purpose of this Agreement the following terms written in the capital letters hereunder shall have the meanings assigned to them as set out below, except otherwise defined in the context of this Agreement:
1.1 Untuk tujuan dari Perjanjian ini, istilah – istilah – istilah berikut ini yang ditulis dalam huruf kapital memiliki makna-makna yang diberikan untuk istilah-istilah tersebut sebagaimana tercantum di bawah ini, kecuali didefinisikan lain dalam konteks Perjanjian ini:
a. “Agreement” shall means this Agreement together with its attachments, amendments, addition, and extension (as applicable), which shall form an integral and inseparable part of this Agreement.

”Perjanjian” adalah Perjanjian ini berikut lampiran-lampirannya, perubahan, penambahan, maupun perpanjangan daripadanya (sebagaimana berlaku) yang merupakan satu kesatuan dan bagian yang tidak terpisahkan dari Perjanjian ini.
b. ”Working Day” shall means any day other than public holiday as determined by the Government of the Republic of Indonesia.

”Hari Kerja” adalah hari-hari diluar hari libur resmi lainnya yang ditetapkan oleh Pemerintah Republik Indonesia.
c. “Day” shall mean calendar day including public holiday as determined by the Government of the Republic of Indonesia.

”Hari Kalender” adalah hari kalendar termasuk hari libur yang ditetapkan oleh Pemerintah Republik Indonesia.

1.3 Unless otherwise expressly agreed in writing by the Parties, in the event of any inconsistency, discrepancy, conflict or ambiguity in interpretation, the documents identified in this Agreement are to be read in the following order of precedence (that is, has the highest order of precedence): a. General condition as set forth in the body of this Agreement; b. Relevant Attachment; c. Purchase Order; d. Other documents that are attached to these terms and conditions and deemed to form an integral part of the Agreement.
1.3 Kecuali jika secara tegas disetujui secara tertulis antara Para Pihak, jika ada inkonsistensi, perbedaan, konflik atau ambiguitas dalam penafsiran, dokumen yang diidentifikasi dalam Perjanjian ini harus dibaca dengan urutan sebagai berikut (yaitu, memiliki urutan tertinggi): a. Ketentuan umum yang diatur dalam badan Perjanjian ini; b. Lampiran terkait; c. Purchase Order; d. Dokumen lain yang dilampirkan pada syarat dan ketentuan tersebut dan dinyatakan menjadi bagian dari Perjanjian.

1.4 Jika terdapat inkonsisteni, perbedaan , konflik atau ambiguitas antara text dari Pasal Perjanjian ini dengan Lampiran, Purchase Order dan dokumen lainnya sehubungan dengan masalah yang sama terkait dengan kewajiban dari Pihak Kedua, maka persyaratan yang lebih ketat dari PIhak Kedua untuk memenuhi kewajibannya yang akan berlaku
If there is any ambiguity, discrepancy, or inconsistency between the text of the Article of this Agreement, the different Attachments , Purchase Order and other documents that relates to the same matter with respect to the Second Party’s Party’s obligations the more stringent requirements for the Second Party to fulfill its obligations shall prevail.
Article 2 APPOINTMENT
Pasal 2 PENUNJUKAN
2.1 The First Party hereby appoints the Second Party to perform the Work in Work Location in which case the Second Party shall provide the trained, skilled, and experienced Personnel in their respective field to carry out Work as required or determined by the First Party pursuant to the terms and conditions of this Agreement.
2.1 Pihak Pertama dengan ini menunjuk Pihak Kedua untuk melaksanakan Pekerjaan di Lokasi Kerja dimana dalam hal ini Pihak Kedua wajib menyediakan Personil terlatih, terampil, dan berpengalaman di bidangnya untuk melaksanakan Pekerjaan yang diminta atau ditentukan oleh Pihak Pertama, berdasarkan syarat – – syarat dan ketentuan – ketentuan – ketentuan ketentuan Perjanjian ini.
2.2 The Second Party shall not assign any part or the whole rights and obligations of the Second Party under this Agreement to another party without the prior written consent of the First Party.
2.2 Pihak Kedua dilarang untuk mengalihkan sebagian atau keseluruhan hak dan kewajiban dari Pihak Kedua dibawah Perjanjian ini tanpa mendapatkan persetujuan tertulis dari Pihak Pertama.
2.3 This Agreement is a master agreement ag reement between the Parties. For the purpose purpose of implementation implementation of this Agreement, the First Party, when requires the Services from the Second Party, will issue written request (Service request form and Purchase Order/PO) together with Scope Scope of Services (SOC). For clarity, the First Party is under no obligation whatsoever to issue any Service request form PO to the Second Party and only a Service request form and PO duly executed by the First Party’s authorized representative that will be valid and binding for the Parties.
2.3 Perjanjian ini merupakan perjanjian induk diantara Para Pihak. Untuk keperluan pelaksanaan Perjanjian ini, Pihak Pertama, apabila membutuhkan Jasa dari Pihak Kedua akan menerbitkan permintaan tertulis (form permintaan Jasa dan ”Purchase Order” atau ”PO”) bersama dengan Lingkup Pekerjaan. Untuk kejelasan, Pihak Pertama tidak berkewajiban untuk menerbitkan form permintaan Jasa dan PO kepada Pihak Kedua dan hanya form permintaan Jasa serta PO PO yang ditandatangani oleh pejabat yang berwenang dari Pihak Pertama Pertama yang akan berlaku dan mengikat bagi Para Pihak.
Article 3 DURATION OF AGREEMENT AND TERMINATION
Pasal 3 MASA PERJANJIAN DAN PENGAKHIRAN
3.1 This Agreement shall be valid for 1 (one) year, commencing from xx x, 20xx to xx x, 20xx, and may be extended at the sole discretion of the First party
3.1 Perjanjian ini berlaku selama 1 (satu) tahun, terhitung efektif sejak tanggal xx 20xx sampai dengan tanggal xx x 20xx, dan dapat diperpanjang berdasarkan kebijaksanaan dari Pihak Pertama.
3.2 The First Party , by serving 30 (thirty) days prior written notice, may terminate this Agreement, without incurring any compensation in any form to the Second Party in the event: event:
3.2 Pihak Pertama dengan memberikan 30 (tiga puluh) hari pemberitahuan tertulis terlebih dahulu dapat mengakhiri Perjanjian ini, tanpa adanya kompensasi dalam bentuk apapun yang dibebankan kepada Pihak Pertama, dalam hal :
(i)
the Second Party is in material breach as set forth in this Agreement and any Attachment(s) appended thereto, or
(i)
(ii)
the Second Party is in breach of the agreed Scope of Services (Attachment C) and SLA/KPI (Attachment D), relevant provisions of this Agreement and PO, or
(ii) Pihak Kedua melanggar Lingkup Jasa (Lampiran C), SLA (Lampiran D), pasal terkait dari Perjanjian ini serta PO, atau
(iii) The Second Party is declared bankrupt or insolvent, or failed, to admit in writing its inability to pay the debt already due, or performs/let the act for liquidation or dismissal,
(iii) Pihak Kedua dinyatakan pailit atau insolven, atau gagal, atau mengakui secara tertulis ketidakmampuannya untuk membayar
Pihak Kedua melakukan pelanggaran berat sebagaimana diatur dalam Perjanjian ini dan Lampiran-lampirannya, atau
or has appointed a curator or liquidator for all or each part of its property, or
hutang yang telah jatuh tempo, atau melakukan/membiarkan dilakukan tindakan untuk likuidasi atau pembubaran, atau telah menunjuk kurator atau likuidator untuk seluruh atau setiap bagian dari hartanya (iv) Pengantian yang mendasar terhadap susunan personal pada perusahaan Pihak Kedua atau kerjasama dimana menurut Pihak Pertama akan mempengaruhi penyelesaian atau kualitas Pekerjaan sesuai dengan mutu dan waktu yang disyaratkan, atau
(iv)
A fundamental replacement on the composition of personnel at the Second Party’s company or a cooperation which, according to the First Party, will affect the settlement or the Work quality according to the defined quality and time, or
(v)
The liquidated damages on the implementation of Work has reached the maximum amount as mentioned in Point 7 of Attachment A.
(v) Denda pelaksanaan Pekerjaan telah mencapai denda maksimal sebagaimana diatur dalam Butir 7 Lampiran A.
3.3 Notwithstanding the provision set out in section 3.1, and 3.2 above, the First Party from time to time during the term of this Agreement, at its own discretion, reserves the right to terminate this Agreement by providing prior written notice within 30 (thirty) days, without incurring any penalties, compensation or any liabilities except for the payment for Services already rendered by the Second Party prior the effective date of termination of the Agreement.
3.3 Mengesampingkan ketentuan ayat 3.1 dan, dan 3.2 di atas , Pihak Pertama dari waktu ke waktu selama masa Perjanjian ini, atas pertimbangan dan kebijakannya sendiri, berhak mengakhiri Perjanjian ini dengan memberikan pemberitahuan tertulis dalam waktu 30 (tiga puluh) Hari sebelumnya, tanpa dikenakan penalti, kompensasi atau kewajiban apapun, kecuali untuk kewajiban pembayaran untuk Jasa yang telah diberikan oleh Pihak Kedua sebelum tanggal efektif diakhirinya Perjanjian.
3.4 For the purpose of termination of this Agreement, in whole or in part, both Parties hereby agree to waive the provisions of second paragraph and third paragraph of the Article 1266 of the Indonesian Civil Code to the extent of requirement of judicial or court’s decision or judgment for the termination of a Agreement or agreement. Henceforth, for the purpose of termination of this Agreement, in whole or in part, for any reasons set out herein, no such judicial or court’s decision or judgment shall be required or necessary.
3.4 Untuk tujuan pengakhiran Perjanjian ini, baik seluruhnya atau sebagian, Para Pihak sepakat mengesampingkan ketentuan dalam paragraf dua (2) dan paragraph tiga (3) Pasal 1266 Kitab Undang-undang Hukum Perdata sejauh dibutuhkannya keputusan pengadilan untuk pengakhiran perjanjian, dan karenanya untuk keperluan pengakhiran Perjanjian ini, baik seluruhnya atau sebagian, untuk setiap alasan yang diatur dalam Perjanjian ini, tidak diperlukan atau dibutuhkan keputusan pengadilan.
3.5 In case that there is termination of the Agreement by the First Party, the following provisions shall apply: a. immediately after the written notification is given by the First Party to the Second Party, the First Party may order the Second Party to stop performing the Service and delivery of the Work;
3.5 Dalam hal terjadi pengakhiran Perjanjian oleh Pihak Pertama, maka berlaku ketentuan-ketentuan sebagai berikut: a. segera setelah pemberitahuan tertulis diberikan oleh Pihak Pertama kepada Pihak Kedua, Pihak Pertama dapat memerintahkan Pihak Kedua untuk menghentikan pelaksanaan Jasa dan Pekerjaan;
b. all obligations of one Party to other Party pursuant to the Agreement shall cease upon effective date of termination, except those obligations which already exist prior the effective date of termination which shall survive upon termination;

semua kewajiban dari satu Pihak kepada Pihak lainnya sesuai Perjanjian ini akan berhenti pada saat tanggal efektif pengakhiran, kecuali kewajiban yang sudah ada sebelum tanggal efektif pengakhiran akan tetap berlaku setelah berakhir/diakhirinya Perjanjian;

each Party must return to the other Party all confidential information in respect of the Agreement or, if it is not capable of return, it shall be destroyed.

d. In order to ensure continuity of the Work, at its own discretion, the First Party may request the Second Party to transfer Personnel of the Second Party assigned to the First Party in part or in whole to one of the subcontractor company engaged with the First Party .

Untuk memastikan kelancaran dari Pekerjaan Pihak Pertama atas kebijakannya sendiri dapat meminta Pihak Kedua untuk mengalihkan Personalia Pihak Kedua yang ditugaskan ke Pihak Pertama sebagian atau seluruhnya ke salah satu perusahaan penyedia jasa yang terlibat dengan Pihak Pertama
Article 4 REPRESENTATION AND WARRANTY
Pasal 4 PERNYATAAN DAN JAMINAN
4.1 The Parties represent and warrant that each Party has taken all necessary action to authorize the execution of and the performance of its respective obligations under this Agreement.
4.1 Para Pihak menyatakan dan menjamin bahwa masing-masing Pihak telah melakukan semua tindakan yang diperlukan untuk mengotorisasi pelaksanaan kewajibannya masing-masing berdasarkan Perjanjian ini.
4.2 The Parties represent and warrant that the person who signed this Agreement for and on behalf of each Party is the party that authorized and competent in accordance with the article of association of each Party.
4.2 Para Pihak menyatakan dan menjamin bahwa individu yang menandatangani Perjanjian ini untuk dan atas nama masingmasing Pihak adalah pihak yang memiliki wewenang dan kompeten sesuai dengan anggaran dasar masing-masing Pihak.
4.3 The Parties represent and warrant to carry out the provisions of this Agreement with full responsibility and to uphold the principles of professionalism.
4.3 Para Pihak menyatakan dan menjamin untuk menjalankan ketentuan Perjanjian ini dengan tanggung jawab penuh dan menegakkan prinsip profesionalisme.
4.4 The Parties represent and warrant that all obligations expressed to be assumed by it under this Agreement are legal, valid, binding and enforceable.
4.4 Para Pihak menyatakan dan menjamin bahwa semua kewajiban yang dinyatakan akan dianggap legal, valid, mengikat, dan dapat dilaksanakan oleh Para Pihak tersebut berdasarkan Perjanjian ini.
4.5 The Parties represent and warrant that during

4.6 The Second Party represents and warrants that the signing and execution of this Agreement by the Second Party does not violate prevailing regulations, and its respective articles of association, and do not conflict with any agreements made with third parties and any obligation (contractual or otherwise) which is binding upon it, or upon any of its assets.
4.6 Pihak Kedua menyatakan dan menjamin bahwa penandatangan dan pelaksanaan Perjanjian ini oleh Pihak Kedua tidak melanggar regulasi yang berlaku, dan pasal terkait tentang asosiasi, dan tidak bertentangan dengan perjanjian apa pun yang dibuat dengan pihak ketiga dan kewajiban apa pun (kontraktual atau lainnya) yang mengikat terhadapnya, atau terhadap setiap asetnya.
4.7 The Second Party represents and warrants that the Second Party is able to perform all Work under this Agreement and in accordance with applicable implementation standards of the Works and has obtain approval and all requirements to carry out the Work based on prevailing regulations.
Article 5 RESTRICTIONS 5.1 The Parties under any circumstances shall not cause or commit any actions that can have detrimental effect to the other Party.
5.2 The Second Party shall under no circumstance ignore any complaints or issues raised by their Personnel that can potentially affecting the performance of such Personnel to perform the Works assigned by the First Party to the Second Party.
5.3
The Second Party is strictly restricted to perform any acts that may hinder Personnel of the First Party to Work in the Work Location.
4.7 Pihak Kedua menyatakan dan menjamin bahwa Pihak Kedua dapat menjalankan seluruh Pekerjaan berdasarkan Perjanjian ini dan sesuai dengan standar implementasi Pekerjaan yang berlaku dan telah mendapatkan persetujuan dan memenuhi semua persyaratan untuk melakukan Pekerjaan berdasarkan regulasi yang berlaku.
Pasal 5 HAL-HAL YANG TIDAK DIPERKENANKAN 5.1 Para Pihak tidak diperkenankan untuk melakukan tindakan yang dapat mengakibatkan kerugian salah satu Pihak. 5.2 Pihak Kedua dalam keadaan apapun, tidak diperkenankan untuk mengabaikan keluhan atau masalah yang disampaikan oleh Personil, yang akan berdampak pada kinerja Personil untuk melaksanakan Pekerjaan yang diserahkan oleh Pihak Pertama kepada Pihak Kedua. 5.3 Pihak Kedua tidak diperkenankan melakukan tindakan yang dianggap dapat menghalangi Personil dari Pihak Kedua untuk bekerja di Lokasi Kerja.
Article 6 ACCIDENT IN WORK LOCATION
Pasal 6 KECELAKAAN KERJA DI LOKASI KERJA
6.1 The Parties agree in the event of accident occurred in the Work Location to the Personnel, the First Party will provide first aid and perform all actions necessary to the injured or sick Personnel, and then the First Party shall immediately notify the Second Party upon given first aid assistance to particular Personnel of Second Party.
6.1 Para Pihak setuju dan sepakat dalam hal terjadi peristiwa kecelakaan terhadap Personil pada saat menjalankan tugas dan fungsinya pada waktu kerja di Lokasi Kerja, maka Pihak Pertama akan memberikan pertolongan pertama atau tindakan apapun yang diperlukan terhadap Personil yang mengalami kecelakaan, dan selanjutnya atas peristiwa kecelakaan ini Pihak Pertama wajib memberitahukan kepada Pihak Kedua segera setelah pertolongan pertama diberikan kepada personil dari Pihak Kedua teresebut.
6.2 Without prejudice to the foregoing, the Second Party agrees to reimburse all costs incurred by the First Party for providing first aid and/or further actions necessary to the particular Personnel.
6.2 Tanpa mengurangi ketentuan di atas, Pihak Kedua setuju untuk menanggung seluruh biaya yang dikeluarkan oleh Pihak Pertama untuk memberikan pertolongan pertama dan tindakan lanjutan yang dibutuhkan terhadap Personil.
Article 7 WORK AND INDUSTRIAL RELATIONSHIP
Pasal 7 HUBUNGAN PEKERJAAN DAN INDUSTRI
7.1 The Parties agree to comply with all relevant terms of the employment as applicable under the laws and regulations of the Republic of Indonesia’s Government.
7.1 Para Pihak setuju untuk mematuhi ketentuan ketenagakerjaan yang berlaku dibawah hukum dan peraturan Pemerintah Republik Indonesia.
7.2 The Second Party shall ensure that all Personnel placed in the Work Location shall always obey and comply with the regulations and policies issued by the First Party from time to time, as far as it does not conflict with or does not violate the prevailing laws and regulations.
7.2 Pihak Kedua wajib memastikan seluruh Personil yang ditempatkan di Lokasi Kerja akan selalu taat dan mematuhi peraturan dan kebijakan yang dikeluarkan oleh Pihak Pertama dari waktu ke waktu, sepanjang hal tersebut tidak bertentangan dengan hukum dan peraturan yang berlaku.
7.3 The Parties agree that the Personnel assigned or placed in Work Location is an employee of the Second Party and shall only have a legal relationship with the Second Party and there shall be no direct employment relationship whatsoever with the First Party. However, the Scope of Services as set out in Attachment C and Scope of Work as set out in each PO shall be determined by the First Party since the Services rendered by the Second Party and the Work must be completed by the Second Party is for the interest of the First Party.

Namun Lingkup Jasa yang diatur di Lampiran C dan Lingkup Pekerjaan yang diatur dalam setiap PO akan ditentukan oleh Pihak Pertama dikarenakan Jasa yang disediakan oleh Pihak Kedua dan Pekerjaan yang harus diselesaikan oleh Pihak Kedua adalah untuk kepentingan Pihak Pertama.
7.4 In the event of any dispute arise related to the work relationship between the Personnel and the First Party, the Second Party shall assume full responsibility to settle such disputes.
7.4 Jika terjadi sengketa mengenai hubungan kerja antara Personil dengan Pihak Pertama, Pihak Kedua harus bertangung jawab penuh untuk menyelesaikan sengketa tersebut.
7.5 Violation to this Article by the Second Party will be considered as material breach to this Agreement.
7.5 Pelanggaran dari Pasal ini oleh Pihak Kedua merupakan pelanggaran berat dari Perjanjian ini.
Article 8 BUSINESS PRACTICES AND ETHICS
Pasal 8 ETIKA DAN PRAKTEK BISNIS
8.1 The Second Party acknowledges that he/she fully understands the statement of business principles of the First Party and undertakes to apply those principles in the execution of this Agreement, particularly with regard to nondiscriminatory treatment to the Personnel, eradicating corruption both committed by local and foreign employees/ expatriates, protection of human rights and environmental responsibility.
8.1 Pihak Kedua mengetahui bahwa mereka mengerti sepenuhnya pernyataan dari prinsip bisnis Pihak Pertama dan menyanggupi untuk memberlakukan prinsip tersebut dalam pelaksanan Perjanjian ini, khususnya terkait kepada perlakuan nondiskriminasi kepada Personil, pemberantasan korupsi yang menjadi komitmen oleh karyawan lokal dan asing/ekspat, perlindungan hak asasi manusia dan tanggung jawab terhadap lingkungan.
8.2 The Second Party is prohibited to offer, grant or agree to provide any undue gift, commission, discount, or any other form of benefits to any employee of the First Party or any individual working for the the First Party, with the purpose of obtaining or performing the Agreement (including to hide any forms of defect in the completion of the Work) and as the compensation for the obtainment of or securing the Agreement.
8.2 Pihak Kedua dilarang menawarkan, memberikan atau menyetujui untuk memberikan hadiah, komisi, diskon yang tidak semestinya, atau setiap bentuk manfaat lainnya kepada setiap karyawan Pihak Pertama atau siapa pun yang bekerja untuk Pihak Pertama, dengan tujuan untuk mendapatkan atau melaksanakan Perjanjian (termasuk menyembunyikan segala bentuk cacat dalam penyelesaian Pekerjaan) dan sebagai kompensasi/imbalan karena telah mendapatkan atau mengamankan Perjanjian.
8.3 Violation of this Article shall be considered as a material breach of this Agreement.

Article 9 FORCE MAJEURE
Pasal 9 KEADAAN MEMAKSA
9.1 The force majeure in this Agreement are events beyond of the willingness or ability of the Parties to prevent and has been declared officially by the Government authorities, which cause the cessation or delay the implementation of this Agreement, and can not

9.2 Each Party shall be released from its responsibilities for any delay or failure to meet the obligations set forth in this Agreement, which is due to or caused by events beyond the control of each party that can be categorized as force majeure.
9.2 Masing-masing Pihak harus dibebaskan dari tanggung jawab atas keterlambatan atau kegagalan dalam memenuhi kewajiban yang tercantum dalam Perjanjian ini, yang disebabkan atau diakibatkan oleh kejadian di luar kekuasaan masing-masing Pihak yang dapat digolongkan sebagai keadaan memaksa.
9.3 A Party which unable to perform its obligations due to force majeure shall immediately giving written notice to other Party of the circumstances of force majeure that happened no later than 2x24 hours after its occurrence.
9.3 Pihak yang tidak dapat melaksanakan kewajibannya dikarenakan keadaan memaksa wajib segera memberikan pemberitahuan tertulis kepada Pihak lainnya tentang situasi keadaan memaksa yang dialaminya paling lambat 2x24 jam setelah terjadinya peristiwa tersebut.
9.4 In the event of force majeure, the First Party may request to the Second Party and/or Personnel of the Second Party to secure the Work that has been performed and the Work Location while continue employing the Personnel in Work Location and in this case the Second Party shall agree to secure the Work and Work Location upon receipt of such request from the First Party.

9.5 After the event of force majeure ends, the obligation of the Parties returns to the condition prior to Force Majeure occurred.

9.6 If the performance in whole or part of any obligation under this Agreement is delayed by reason of any such event of force majeure for a period exceeding 3 (three) months, the Parties shall meet and review in good faith the desirability and conditions of terminating this Agreement.

The Parties agree to choose as their domicile, the Office of the Registrar of the District Court of Central Jakarta (Kantor Panitera Pengadilan Negeri Jakarta Pusat ).

Jika pertentangan/perselisihan tersebut tidak dapat diselesaikan secara mufakat dalam waktu 30 (tiga puluh) Hari sejak timbulnya pertentangan/perselisihan dimaksud, pertentangan/perselisihan tersebut akan diselesaikan melalui Pengadlan Negeri Jakarta Pusat. Para Pihak sepakat memilih domisili hukum pada Kantor Panitera Pengadilan Jakarta Pusat.
11.4 During the dispute resolution process, the Parties shall continue to perform their obligations in accordance with the terms and conditions of this Agreement.

Selama proses penyelesaian Perselisihan, Para Pihak wajib tetap melaksanakan kewajibannya masing-masing sesuai dengan ketentuan dan syarat Perjanjian ini.
Article 12 CONFIDENTIALITY
Pasal 12 KERAHASIAAN
12.1 All information and data related to this Agreement and its performance shall be kept confidential by the Parties and the Parties agree for not to disclose, inform, disseminate and or giving data, information, document, explanation (whether written and verbal) related to the content and implementation of this Agreement, in a whole or part, by the way and in any form to any third party, without prior written consent from the disclosing party, except:
12.1 Seluruh informasi dan data terkait dengan Perjanjian dan pelaksanaannya ini harus dijaga kerahasiaannya oleh Para Pihak, dan Para Pihak sepakat untuk tidak mengungkapkan, memberitahukan, dan atau menyebarluaskan, dan atau memberikan data, informasi, dokumen, keterangan atau sejenisnya (baik tertulis maupun tidak tertulis ) terkait dengan isi dan pelaksanaan Perjanjian ini, sebagian ataupun seluruhnya, dengan cara dan dalam bentuk apapun kepada pihak ketiga manapun juga, tanpa persetujuan tertulis terlebih dahulu dari pihak yang mengungkapkan, kecuali:
a. to the Government institution which authorized to organize or issue permits on matters agreed in the Agreement and for the implementation of the Agreement; or
a. kepada instansi Pemerintah yang berwenang mengatur atau mengeluarkan ijin tentang hal-hal yang diperjanjikan dalam Perjanjian dan untuk pelaksanaan Perjanjian; atau b. diperintahkan oleh badan peradilan atau instansi pemerintah lainnya yang

e. if prior to the date of this Agreement, the confidential information had been made known to the public or were/are in a public place or with this being the general information that is not a result of a breach of this Agreement; or

f. to their legal and financial advisers provided they agree to keep the confidentiality; or

g. in connection with legal proceedings related to this Agreements.

12.2 The Second Party shall ensure all Personnel to keep and safeguard all confidential information/data/document given or received/obtained/known in any way and any form, either orally or in writing, directly or indirectly, while Personnel working in the Work Location.

Pihak Kedua wajib memastikan seluruh Personil menjaga setiap dan seluruh informasi/data/dokumen yang diterima/diperoleh/diketahui dengan cara dan bentuk apapun, baik lisan atau tulisan, maupun langsung atau tidak langsung, selama Personil di Lokasi Kerja.

Article 13 ASSIGNMENT
Pasal 13 PENGALIHAN
Neither Party may assign this Agreement, in whole or in part, without the prior written consent of the other Party. Notwithstanding the foregoing, th First Party may assign this Agreement, without the consent of the Second Party, to its affiliate or the surviving entity in connection with the merger, consolidation, or sale of all or substantially all of its assets in each case where the successor entity assumes all rights and obligations of the First Party under this Agreement. Any assignment in violation of this section shall be null, void, and of no force or effect.
Tidak satupun Pihak dapat mengalihkan Perjanjian ini, seluruh atau pun sebagian, tanpa persetujuan tertulis sebelumnya dari Pihak lainnya. Meskipun demikian, Pihak Pertama dapat mengalihkan Perjanjian ini, tanpa persetujuan dari Pihak Kedua, kepada afiliasi atau entitas yang dipertahankan sehubungan dengan merger, konsolidasi, atau penjualan dari semua atau secara substansial seluruh asetnya yang mana entitas penerus mengambil alih semua hak dan kewajiban Pihak Kedua berdasarkan Perjanjian ini. Pengalihan yang dilakukan dengan pelanggaran atas Pasal ini akan menjadi batal demi hukum dan tidak memiliki efek.
Article 14 MISCELLANEOUS
Pasal 14 LAIN-LAIN
14.1 Each Party shall consult with, and obtain the approval of the other Party in writing, before issuing any press release or formal publicity concerning the other Party or this Agreement.
14.1 Masing-masing Pihak harus melakukan konsultasi dan mendapatkan persetujuan dengan Pihak lainnya secara tertulis, sebelum mengeluarkan pernyataan kepada pers atau pengumuman kepada publik yang berhubungan dengan Pihak lainnya dalam Perjanjian ini.
14.2 The Parties hereby grant power and authority to the First Party to deduct/set off any invoice due to First Party in an amount equivalent with the amount of liquidated damages/penalties/indemnification mentioned in section 7 of Exhibit A and relevant sections of this Agreement and its Exhibits due to Second Party arising out or in connection of any breach of any provision of this Agreement by the Second Party . The power and authority grant to the Second Party to the First Party shall not be withdrawn or revoked and in no event be terminated for any reasons whatsoever including all matters mentioned in Article 1813,1814 and 1816 of the Indonesian Civil Code without prior written consent of the First Party.
14.2 Pihak Kedua dengan ini memberikan kuasa dan kewenangan kepada Pihak Pertama untuk melakukan pemotongan atas tagihan Pihak Kedua sebesar jumlah pembayaran denda/penalty/ganti kerugian seperti yang disebutkan di ayat 7 dari Lampiran A dan ayat –ayat yang relevan dari Perjanjian ini beserta Lampirannya yang menjadi kewajban Pihak Kedua yang ditimbulkan karena pelanggaran atas ketentuan menurut Perjanjian ini. Kuasa dan kewenangan yang diberikan Pihak Kedua kepada Pihak Pertama tersebut tidak dapat ditarik atau dicabut kembali dan dalam keadaan apapun tidak akan berakhir karena sebab apapun juga termasuk sebab yang termaktub dalam Pasal 1813, 1814 dan 1816 KUHPerdata tanpa persetujuan tertulis terlebih dahulu dari Pihak Kedua.
14.3 Should there be amendments, supplements, and or other issues not adequately covered by this Agreement, then those amendments shall be drawn up in writing and signed by the Parties, and shall form an inseparable part of this Agreement. This Agreement may be amended only by a document in writing executed by the duly authorized representatives of the Parties.
14.3 Apabila diperlukan amendemen, suplemen atau terdapat hal-hal lainnya yang belum diatur secara jelas dalam Perjanjian ini, maka amendemen tersebut harus dibuat secara tertulis dan ditandatangani oleh Para Pihak, dan merupakan bagian yang tidak terpisahkan dari Perjanjian ini. Perjanjian ini hanya dapat dirubah dengan dokumen tertulis yang ditandatangani oleh perwakilan yang berwenang dari Para Pihak.
14.4 This Agreement and its Attachments constitute the entire agreement between the Parties with respect to the subject matter hereof. It sets forth all intended rights and obligations and supersedes any and all previous agreements and understandings between them with respect to the subject matter hereof.
14.4 Perjanjian ini dan Lampiran-lampirannya merupakan keseluruhan perjanjian antara Para Pihak yang terkait dengan subyek dan materi yang diatur dalam Perjanjian ini. Perjanjian dan Lampiran-lampirannya mengatur semua hak dan kewajiban dan menggantikan setiap dan semua perjanjian dan kesepakatan sebelumnya antara Para Pihak terkait dengan subyek dan materi dalam Perjanjian ini.
14.5 If any of the terms and conditions of this Agreement shall be or become unenforceable for any cause or reason whatsoever, the ensuing lack of enforceability shall not affect the other provisions hereof, and in such event the Parties hereto shall endeavor to substitute forthwith such other enforceable provision as will most closely correspond to the legal and economic contents of the said terms and conditions.
14.5 Apabila terdapat syarat dan ketentuan dalam Perjanjian ini menjadi tidak dapat diberlakukan untuk sebab dan alasan apapun, ketidakberlakuan tersebut tidak boleh mempengaruhi ketentuan lainnya dalam Perjanjian ini, dan dalam kondisi tersebut, Para Pihak akan berusaha untuk segera mengganti syarat dan ketentuan tersebut dengan yang paling mendekati dengan muatan hukum dan ekonomi dari syarat dan ketentuan tersebut.
14.6 The failure by either Party to the Agreement to exercise or enforce any rights conferred by the Agreement shall not be deemed to be a waiver of any such right or obligation therein at any time or times thereafter.
14.6 Kegagalan dari salah satu Pihak untuk menjalankan hak-hak yang diatur dalam Perjanjian tidak dapat dianggap sebagai pelepasan atas hak atau kewajiban dalam Perjanjian ini setiap saat atau setelahnya.
14.7 This Agreement is executed in English version and Bahasa Indonesia version. If there is any discrepancy/inconsistency between the English version and the Bahasa Indonesia version, the Bahasa Indonesia version shall prevail. The relevant English text will be deemed to be amended to conform with and to make the relevant English text consistent with the corresponding Bahasa Indonesia text. The Parties agree although this Agreement (including any amendments/addendum thereto) is made in 2 (two) languages, but for

1. Additional Definitions. In addition to the definition as set forth in the Agreement, the Parties agree to add the following definitions

a. “Service Acceptance Certificate” shall mean a written document that constitute the evidence of a process or activity that has been done by the Second Party based on the PO which are subject to and bound according to the terms and conditions under this Agreement, which is issued and signed by the authorized representatives of the First Party and the Second Party used as basis or attachments of payment/billing.
a. “Berita Acara (BA) Serah Terima Jasa” adalah suatu dokumen tertulis yang merupakan pembuktian atas suatu proses atau kegiatan yang telah dilakukan oleh Pihak Kedua berdasarkan PO yang tunduk dan terikat dengan syarat dan ketentuan dari Perjanjian ini, yang diterbitkan oleh Pihak dan ditandatangani oleh pejabat yang berwenang dari Pihak Pertama dan Pihak Kedua yang digunakan sebagai dasar atau lampiran pembayaran/penagihan.
b. ”Work Fee” shall mean the lump sum fees as stated in the relevant PO in accordance with the relevant Scope of Work, for the execution of the Work as well as the fulfillment of all other obligations and responsibilities by the Second Party.
b. ”Biaya Pekerjaan” adalah harga lump sum yang dicantumkan dalam PO berdasarkan Lingkup Pekerjaan terkait, untuk pelaksanaan Pekerjaan serta pemenuhan seluruh kewajiban dan tanggung jawab oleh Pihak Kedua.

Manajemen” adalah biaya yang menjadi hak Pihak Kedua terkait dengan pelaksanaan Perjanjian ini dan akan dibayarkan oleh Pihak Pertama kepada Pihak Kedua sebagaimana diatur dalam Lampiran B.
c. “Management Fee” shall mean fees which becomes of the Second Party’s rights related with the implementation of this Agreement and will be paid by the First Party to the Second Party as set out in Attachment B .

d. ”Working Hours” shall means normal working hours which is 8 (eight) hours per day or 40 (forty) hours per week. Notwithstanding this definition, the working hours for each location where the Personnel assigned or placed may vary according to the policy determined by the First Party. Therefore, Personnel shall fully abide with Working Hours applied in each Work Location.
d. ”Jam Kerja " adalah jam kerja normal yaitu 8 (delapan) jam per hari atau 40 (empat puluh) jam per minggu. Meskipun dengan adanya definisi ini, jam kerja untuk setiap lokasi di mana Personil ditugaskan atau ditempatkan dapat bervariasi sesuai dengan kebijakan yang ditentukan oleh Pihak Pertama. Oleh karenanya, Personil harus mematuhi Jam Kerja yang diterapkan di setiap Lokasi Kerja.

e. Service” shall mean Work implementation services as determined by the First Party in each PO(s) to be performed by the Second Party and its Personnel.
e. ”Jasa” adalah jasa pelaksanaan Pekerjaan sebagaimana ditentukan oleh Pihak Pertama dalam setiap PO untuk dilakukan oleh Pihak Kedua dan Personilnya.
f. “Scope of Work” shall mean a scope of the Work that must be performed and completed by the Second Party through its Personnel as described in each relevant PO .
f. “Lingkup Pekerjaan” adalah cakupan Pekerjaan yang harus dilakukan dan diselesaikan oleh Pihak Kedua melalui Personilnya sebagaimana disebutkan pada setiap PO terkait.
g. “Scope of Services” means the statement of Work as set out in this Agreement, including Attachment C and any statement of Work issued from time to time by the First Party to be performed and completed by the Second Party.
Jasa” g. “Lingkup berarti pernyataan Pekerjaan yang diatur dalam Perjanjian ini, termasuk Lampiran C dan pernyataan Pekerjaan yang diterbitkan dari waktu ke waktu oleh Pihak Pertama untuk dilakukan dan diselesaikan oleh Pihak Kedua.
h. ”Work Location” shall mean location or the other places as mentioned in each PO and/or the operational area of the First Party, or other places as determined by the First Party.
h. ”Lokasi Kerja” adalah lokasi atau tempat lainnya sebagaimana dimaksud dalam setiap PO dan/atau daerah operasional Pihak Pertama, atau di tempat lain sebagaimana ditetapkan oleh Pihak Pertama.
i. “Work” shall mean any part of or all the works and actions that must be delivered by the Second Party in accordance with the terms and conditions in this Agreement, as well as in accordance with Scope of Work attached in each PO(s).
i. ”Pekerjaan” adalah sebagian atau keseluruhan Pekerjaan dan tugas yang harus disediakan oleh Pihak Kedua yang ditempatkan di Lokasi Kerja sesuai dengan syarat dan ketentuan Perjanjian ini, serta sesuai dengan Lingkup Pekerjaan yang dilampirkan di setiap PO.
j. “Personnel” shall mean employees or personnel of the Second Party assigned or placed in Work Location determined by the First Party. The number and level of expertise of each personnel for each Work function is under the authority of the Second Party. However, if necessary the First Party may request to the Second Party to change the number and/or skill level personnel
j. ”Personil” adalah karyawan atau personil dari Pihak Kedua yang ditugaskan dan ditempatkan di Lokasi Kerja untuk melaksanakan Pekerjaan menurut Perjanjian ini. Jumlah dan tingkat keahlian tiap Personil untuk masing-masing fungsi Pekerjaan merupakan kewenangan Pihak Kedua. Namun bilamana diperlukan, Pihak Pertama dapat meminta kepada Pihak Kedua untuk merubah jumlah dan/atau tingkat keahlian personilnya.
k. “Purchase Order ” or “PO” shall mean a written document issued by the First Party as the basis of the performance of Work for the Second Party. Each PO issued and signed by the First Party shall form an integral and inseparable part of the Agreement.
k. “Purchase Order ” atau “PO” adalah dokumen tertulis yang diterbitkan oleh Pihak Pertama sebagai dasar pelaksanaan Pekerjaan bagi Pihak Kedua. Setiap PO yang diterbitkan dan ditandatangani oleh Pihak Pertama merupakan satu kesatuan dan bagian yang tidak terpisahkan dari Perjanjian.
l. “Service Level Agreement (SLA)/Key Performance Indicator (KPI)” shall mean the written document attached to this Agreement as Attachment D and signed by the Parties that states level and quality of Work performance based on this Agreement that must be submitted by the Second Party to the First Party with particular standar and parameter.
l. “Service Level Agreement (SLA)/Key Performance Indicator (KPI)” adalah dokumen kesepakatan tertulis yang terlampir dalam Perjanjian ini sebagai Lampiran D dan ditandatangani oleh Para Pihak yang menyatakan tingkat dan kualitas dari pelayanan yang harus diberikan oleh Pihak Kedua kepada Pihak Pertama dengan standar dan parameter tertentu.
2. The First Party’s Rights
2.
Hak Dari Pihak Pertama
2.1 The First Party reserves the right to determine the work criteria, Working Hours, and Scope of Work to be performed by the Second Party through its Personnel who will be assigned and placed in the Work Location.
2.1 Pihak Pertama berhak untuk menentukan kriteria pekerjaan, Jam Kerja, dan Lingkup Pekerjaan untuk dilakukan oleh Pihak Kedua melalui Personil yang akan ditugaskan atau ditempatkan di Lokasi Kerja.
2.2 The First Party reserves the right to conduct periodic assessment and evaluation of performance of the Second Party (including assessment and evaluation against performance of the Personnel) in accordance with the timeframe specified by the First Party.
2.2 Pihak Pertama berhak untuk melakukan penilaian dan evaluasi atas kinerja dari Pihak Kedua (termasuk penilaian dan evaluasi terhadap kinerja Personil) secara berkala sesuai dengan waktu yang ditentukan oleh Pihak Pertama.
2.3 With respect to the point 2.2 above, if based on the result of assessment and evaluation, the performance of Work and/or quality of Services rendered by the Second Party do not comply with the agreed SLA/KPI, the First

Party has the right to request the Second Party to improve the quality of Services/its performance by giving 3x (three times) warning letter, whether consecutive or not, with a grace period maximum of 7 (seven) Days for each warning. If after third warning letter, the Second Party is still unable to improve its performance/quality of Service, the First Party is entitled to terminate this Agreement, without any penalty/compensation in any form.

Apabila setelah penyampaian surat peringatan ketiga, Pihak Kedua tetap tidak dapat meningkatkan performa kinerjanya/kualitas Jasanya, maka Pihak Pertama berhak mengakhiri Perjanjian ini, tanpa dikenakan penalti/kompensasi dalam bentuk apapun.
2.4 In order to support the sustainability of the implementation and completion of the Work, the First Party has the rights to request a substitute Personnel (replacement) in accordance with provision set out in Point 6.11 of this Attachment A .
2.4 Untuk menunjang keberlangsungan pelaksanaan dan penyelesaian Pekerjaan, Pihak Pertama berhak untuk meminta penggantian (replacement ) atas Personil sesuai dengan ketentuan yang diatur dalam Butir 6.11 Lampiran A ini.
2.5 All intellectual property rights (“IPR”) arising out of the execution of this Agreement including but not limited to copyright, trademark, literature, design, creative, methods, trade secrets, know-how, or other material belongs to the First Party or third party that owned such rights. The Second Party hereby agrees that it will not infringe any copyright or other intellectual property of the First Party or any third party while providing the Services under this Agreement. Violation of this provision is considered as material breach of the Agreement.
2.5 Semua hak atas kekayaan intelektual (HAKI/ IPR) yang timbul dari pelaksanaan Perjanjian ini termasuk namun tidak terbatas kepada hak cipta, merek dagang, literature, desain, kreatif, metode, rahasia dagang, know-how , atau material lainnya adalah milik Pihak Pertama atau pihak ketiga lainnya yang memiliki hak tersebut. Pihak Kedua setuju untuk tidak melanggar hak cipta atau HAKI lainnya yang dimiliki oleh Pihak Pertama atau pihak ketiga lainya selama menyediakan Jasa menurut Perjanjian ini. Pelanggaran klausul ini dianggap sebagai pelanggaran berat dari Perjanjian ini.
2.6 When deemed necessary and for certain type of Work, the First Party with prior written notice to the Second Party may change the Work schedule, Work Location, assignment or placement of the Personnel in accordance to the First Party’s requirement and needs.
2.6 Apabila dipandang perlu dan untuk type Pekerjaan tertentu, Pihak Pertama dengan pemberitahuan tertulis terlebih dahulu kepada Pihak Kedua, dapat merubah jadwal Pekerjaan, Lokasi Kerja, penugasan atau penempatan dari Personil sesuai dengan keperluan dan kebutuhan dari Pihak Pertama.
2.7 Upon completion of the Works, The First Party will issue the Service Acceptance Certificate confirming that the Second Party has completed the Work to the full satisfaction of the First Party. However, The First Party reserves the right to reject or suspend the

2.8 The First Party reserves the right to impose the liquidated damages/ fines to the Second Party if: a. the performance of the Second Party does not comply with SLA/KPI set forth in the Attachment D of this Agreement; and/or b. the Second Party delay in providing required Services in accordance with provisions set forth in this Agreement.
2.8 Pihak Pertama berhak untuk mengenakan penalti/denda kepada Pihak Kedua bilamana: a. kinerja Pihak Kedua tidak sesuai dengan SLA/KPI sebagaimana ditentukan di dalam Lampiran D Perjanjian ini; dan/atau Pihak Kedua terlambat untuk menyediakan b. Jasa yang diminta oleh Pihak Pertama sesuai dengan ketentuan yang diatur dalam Perjanjian ini.
2.9 The First Party has the right to at any time, by a prior written notification to the Second Party and within a reasonable period, to conduct regular inspection on the Work implemented by the Second Party and/or meet with the representatives of the Second Party to discuss the progress of the Work implementation or the result of inspection conducted, provided that: (i) The Second Party is obliged to arrange the implementation of such inspection as requested by the First Party; (ii) the implementation of an inspection will not cause the delay in the implementation of the Work; (iii) the implementation or non-performance of an inspection by the First Party shall not relieve or release the Second Party from its obligations and responsibilities under the Agreement.
2.9 Pihak Pertama berhak setiap saat, dengan pemberitahuan tertulis sebelumnya kepada Pihak Kedua dan dalam jangka waktu yang wajar, untuk melakukan pemeriksaan regular terhadap Pekerjaan yang dilaksanakan oleh PIhak Kedua dan/atau bertemu dengan wakil-wakil Pihak Kedua untuk membicarakan perkembangan pelaksanaan Pekerjaan atau hasil dari pemeriksaan yang telah dilakukan, dengan ketentuan: (i) Pihak Kedua wajib mengatur pelaksanaan pemeriksaan tersebut sebagaimana diminta oleh Pihak Pertama; (ii) dilaksanakannya suatu pemeriksaan tidak akan menyebabkan keterlambatan dalam pelaksanaan Pekerjaan; (iii) dilaksanakan atau tidak dilaksanakannya suatu pemeriksaan oleh Pihak Pertama tidak membebaskan atau melepaskan Pihak Kedua dari kewajiban dan tanggung jawabnya berdasarkan Perjanjian.
3. The First Party’s Obligations
3.
3.1 Pay the Work Fee and Management Fee to the Second Party in accordance of terms and conditions of this Agreement.

4. The Second Party’s Rights
4.
4.1 In connection to the implementation of this Agreement the Second Party shall be entitled to receive payment of the Work Fee and Management Fee in accordance of terms in this Agreement.
4.1 Sehubungan dengan pelaksanaan ini, Pihak Kedua berhak untuk pembayaran atas Biaya Pekerjaan Manajemen sesuai dengan Perjanjian ini.
4.2 The Second Party by submitting prior written approval to the First Party may change/adjust the Work Fee as set forth in this Agreement in the event during the term of this Agreement there is any changes/new regulation passed by the competent Government authorities on monetary policy and/or manpower/labor. Changes/adjustment of the Work Fee may ONLY be adjusted upon the Second Party obtaining written approval from the First Party.
4.2 Pihak Kedua dengan mengajukan persetujuan tertulis terlebih dahulu kepada Pihak Pertama dapat mengubah/menyesuaikan Biaya Pekerjaan yang ditetapkan dalam Perjanjian ini apabila dalam jangka waktu Perjanjian ini terjadi perubahan/penetapan baru oleh pemerintah terhadap kebijakan moneter dan/atau ketenagakerjaan. Perubahan/penyesuaian atas Biaya Pekerjaan HANYA dapat dilakukan setelah Pihak Kedua mendapatkan persetujuan tertulis dari Pihak Pertama.
5. The Second Party’s Obligations
5.
5.1 The Second Party shall confirm receipt of every PO issued by the First Party immediately upon receipt of such PO within the same day. The Second Party shall under no circumstances reject to implement the Work assigned to them and as described in PO, which has been accepted by the Second Party.
5.1 Pihak Kedua wajib memberikan konfirmasi tanda terima untuk setiap PO yang diterbitkan oleh Pihak Pertama segera setelah diterimanya PO dimaksud pada hari yang sama pada saat PO diterbitkan. Pihak Kedua dengan alasan apapun tidak dapat menolak untuk melaksanakan Pekerjaan yang ditentukan dan seperti yang tercantum dalam PO, yang telah diterima oleh Pihak Kedua.
5.2 The Second Party shall provide trained, skilled and experienced Personnel upon receipt of a written request (Service Form and PO) from the First Party.
5.2 Pihak Kedua wajib menyediakan Personil yang terlatih, terampil dan berpengalaman setelah menerima permintaan tertulis (form permintaan Jasa dan PO) dari Pihak Pertama.
5.3 The Second Party shall take full responsibility towards performance of each Personnel placed in Work Location for performing the duties and strictly adhere with the agreed Scope of Work as attached in PO, SLA set out in Attachment D of this Agreement, as well as any instructions given by the First Party of the time period.

Pihak Kedua harus bertanggung jawab penuh terhadap kinerja masing-masing Personil yang ditempatkan di Lokasi Kerja untuk melakukan tugasnya dan mematuhi secara penuh Lingkup Pekerjaan yang dilampirkan dalam PO, SLA sesuai dengan Lampiran D Perjanjian ini, serta setiap instruksi yang diberikan oleh Pihak Pertama dari waktu waktu.
5.4 The Second Party shall provide and perform all necessary actions to prevent an accident on any individual or damage to the First Party or a third party property during the implementation of the Work. For the purpose of this provision, the Second Party is obliged to provide and guarantee the availability of protectors, stairs, security fences, signs and building/structure required to protect and secure the Personnel, property and the public. The Second Party shall ensure all its equipment, tools, work processes and Personnel, must to fulfill the prevailing laws including any prevailing laws and regulation concerning the occupational health and safety environment (HSE).
5.4
Pihak Kedua wajib menyediakan dan melakukan segala tindakan yang diperlukan untuk mencegah kecelakaan pada orang atau kerusakan pada hak milik Pihak Pertama atau pihak ketiga pada saat pelaksanaan Pekerjaan. Untuk keperluan ketentuan ini, Pihak Kedua wajib menyediakan dan menjamin tersedianya pengaman, tanggatangga, pagar pengaman, tanda-tanda dan bangunan/struktur yang diperlukan untuk menjaga dan melindungi para Personil, harta benda dan masyarakat. Pihak Kedua wajib memastikan seluruh perlengkapan, peralatan, proses kerja serta Personilnya harus memenuhi hukum yang berlaku termasuk segala peraturan terkait keselamatan dan kesehatan kerja serta lingkungan (K3L) yang berlaku.
5.5 The Second Party shall provide written notice to the First Party reminding the First Party of the validity period of the Agreement at the latest by 30 (thirty) Days prior the expiration date of this Agreement.
5.5
Pihak Kedua wajib menyampaikan pemberitahuan tertulis kepada Pihak Pertama untuk mengingatkan dari masa berlakunya Perjanjian, paling lambat 30 (tiga puluh) Hari sebelum tanggal berakhirnya Perjanjian ini.
5.6 The Second Party shall submit and prepare an extension proposal if the First Party intends to request the Second Party to extend the placement of the Personnel concerned up to a certain period of time permitted by the prevailing laws and regulations in Indonesia.

Pihak Kedua wajib mengirimkan dan menyiapkan proposal perpanjangan jika Pihak Pertama bermaksud meminta Pihak Kedua untuk memperpanjang penempatan Personil yang bersangkutan sampai dengan jangka waktu tertentu yang diizinkan oleh hukum dan peraturan yang berlaku di Indonesia.
5.7 The Second Party shall provide attendance list/absence record for tracking the attendance of each Personnel (hereinafter referred to as “Attendance List”, in format and substance as attached in Attachment H of this Agreement) to be validated by the authorized representative of First Party. This Attendance List shall be attached as part of invoice documents to justify payment for monthly Work Fee.
5.7
Pihak Kedua wajib menyediakan daftar kehadiran/catatan absensi untuk mencatat kehadiran setiap Personil (selanjutnya disebut sebagai "Daftar Absensi" dengan format dan substansi yang terlampir dalam Lampiran H Perjanjian ini) untuk divalidasi oleh perwakilan resmi Pihak Pertama. Daftar Absensi tersebut harus dilampirkan sebagai bagian dari dokumen tagihan sebagai bukti untuk pembayaran tagihan Biaya Pekerjaan.
5.8 With respect to salary/wages (and other payment, such as: festive allowance, social security as required by prevailing regulations/laws), income tax payment and other labour law and regulations enforced within jurisdiction of the Republic of

i. the Second Party shall ensure payment of salary/wages, meal allowance, festive allowance (THR), medical allowance and other payment (if any) for each Personnel in all Work Location are remitted within the schedule specified by the Second Party including all due obligations of the Second Party to the Personnel in order to prevent disturbance in the execution/performance of Work. If deemed necessary in order to ensure the smooth execution of Work by Personnel, the First Party may provide advice/ suggestions to the Second Party of the payment period the of salary/wages and in this case, the Second Party agrees to consider such advice/ suggestions of the First Party and shall implement such. In the event the payment date is due on public holiday or Sunday, such payment shall be made by the Second Party o n the preceding Working Day

the Second Party agrees and shall assume full responsibility for the calculations, deductions and report on Income Tax (PPh 21) of all Personnel to the tax office for full Salary or Wages paid to the Personnel in accordance with this Agreement. If needed, the Second Party agrees to provide and/or submit all documents related to the aforesaid (tax document PPh 21) to the First Party.

Refer to the prevailing manpower regulations, The Second Party shall enroll/register all Personnel placed in Work Location to BPJS Ketenagakerjaan and BPJS Kesehatan as proven with BPJS card to be distributed to all Personnel assigned to the First party within 3(three) months at the latest upon registration . The Second Party shall ensure the BPJS fund is deposited regularly to BPJS and provide the BPJS balance report to each Personnel every year (at the beginning of the year, after such report has been received from BPJS). Violation of this

Apabila dipandang perlu dalam rangka memastikan kelancaran pelaksanaan Pekerjaan oleh Personil, Pihak Pertama dapat memberikan saran/masukan kepada Pihak Kedua mengenai periode pembayaran gaji/upah dimaksud dan dalam ini Pihak Kedua setuju untuk mempertimbangkan saran/masukan Pihak Pertama tersebut serta mengimplementasikannya. Apabila jatuh tempo pembayaran jatuh pada hari libur atau Minggu, maka pembayaran tersebut hari dilakukan oleh Pihak Kedua pada Hari Kerja sebelumnya

Pihak Kedua setuju dan wajib bertanggung jawab penuh untuk perhitungan, pemotongan dan laporan Pajak Penghasilan (PPh 21) atas semua Personel ke kantor pajak untuk semua gaji/upah yang dibayarkan kepada Personil. Jika diperlukan, Pihak Kedua setuju untuk menunjukan dan/atau memberikan semua dokumen terkait dengan hal tersebut di atas (dokumen perpajakan PPh 21) kepada Pihak Pertama. Merujuk kepada peraturan ketenagakerjaan yang berlaku, Pihak Kedua wajib mendaftarkan seluruh Personel yang ditempatkan di Lokasi Kerja kepada BPJS Ketenagakerjan dan BPJS Kesehatan sebagaimana dibuktikan dengan kartu BPJS yang harus didistribusikan kepada semua Personil yang ditugaskan ke Pihak Pertama selambat lambatnya dlam jangka waktu 3 (tiga) bulan setelah Pendaftaran. Pihak Kedua harus memastikan dana BPJS dipotong secara teratur dan disetorkan ke BPJS serta memberikan laporan saldo BPJS

5.9 The Second Party at all-time shall fully comply with all laws and regulations related with manpower/labor in the Republic of Indonesia territory (“Laws and Regulations”). The second Party agrees to indemnify and hold harmless the First party for any claim, loss, expenses (including attorney’s fee), levies, demands or legal actions in any form and in any way arising from the Second Party’s failure in its compliance with this provision including but not limited to all matters related with remuneration and industrial relationship that may be brought against the First Party by third party, non-government organization and related government institutional. For this purpose, each quarter, the Second Party is required to submit a statement of compliance related with local labor law and other regulations enforced in Indonesia in a form of self certification and assessment provided in Attachment I of this Agreement.

Pihak Kedua setiap waktu wajib sepenuhnya mematuhi seluruh ketentuan hukum dan peraturan terkait dengan ketenagakerjaan yang berlaku di wilayah Republik Indonesia ("Hukum dan Peraturan"). Pihak Kedua setuju untuk mengganti kerugian dan membebaskan Pihak Pertama dari setiap klaim, kerugian, biaya-biaya (termasuk biaya pengacara), pungutan, tuntutan atau tindakan hukum dalam bentuk apapun dan dengan cara apapun yang timbul akibat kegagalan/kelalaian Pihak Kedua dalam memenuhi ketentuan ini, termasuk tapi tidak terbatas dengan masalah remunerasi dan hubungan industri yang mungkin dapat diajukan terhadap Pihak Pertama oleh pihak ketiga, lembaga swadaya masyarakat dan institusi pemerintah terkait. Untuk tujuan ini, setiap kuartal, Pihak Kedua wajib menyampaikan pernyataan kesesuaian terkait dengan hukum tenaga kerja lokal dan peraturan lainnya yang berlaku di Indonesia dalam bentuk sertifikasi diri dan penilaian sesuai dengan format dan substansi terlampir dalam Lampiran I Perjanjian ini.
6. The Second Party’s Guarantee

The Second Party warrants that :

6.1 all Personnel assigned to or placed in Work Location have gone through a preliminary selection and recruitment process appropriately conducted by the Second Party, including but not limited to the following matters:

6.5 all matters related to the employment/labour as set forth in the Labor Law Act No. 13/2003 and other law and regulations enforced within the jurisdiction of the Republic of Indonesia shall become the responsibility of the Second Party. Violation of this provision will be considered as material breach of this Agreement.

Pelanggaran dari klausul ini dianggap merupakan pelanggaran berat atas Perjanjian ini. 6.6 Pihak Kedua wajib bertanggung jawab penuh dan mengganti kerugian Pihak Pertama atau pihak ketiga atas setiap kehilangan dan/atau kerusakan properti/barang-barang atau peralatan (”Aset”) yang dipercayakan kepada Personil untuk melaksanakan Pekerjaan, yang mana dapat dibuktikan oleh Pihak Pertama atau pihak ketiga dengan memberikan hasil investigasi/bukti kepada Pihak Kedua, bahwa kehilangan atau kerusakan Aset tersebut semata-mata diakibatkan oleh Pihak Kedua dan/atau Personilnya yang ditugaskan atau ditempatkan di Lokasi Kerja. Tanpa mengurangi hak-hak lain yang dimiliki oleh Pihak Pertama menurut hukum dan Perjanjian ini, Pihak Pertama berhak meminta ganti kerugian kepada Pihak Kedua sesuai dengan ketentuan Butir 7 Lampiran A ini .
6.6 be fully responsible and indemnify the First Party or third party for any loss and/or damage to property, goods or equipment/tools (herein referred to as ”Asset”) entrusted to the Personnel to perform the Work, provided it can be proven by the First Party or third party by providing investigation findings/evidence to the Second Party, that such loss or damage to the Asset is solely due to the the Second Party and/or its Personnel assigned to or placed in Work Location. Without prejudice to any other rights which are owned by the First Party under the laws and this Agreement, the First Party reserves the right to seek indemnification to the Second Party in accordance with the provisions of Point 7 of this Attachment A.
6.7 Ensure each Personnel that no longer assigned to or placed in Work Location for whatever reasons has returned all Assets used or

6.8 notify in writing to all Personnel of the Second Party that under this Agreement, in no event Employee or Personnel of the Second Party assigned to or placed in Work Location may directly engage with the First party (legal bonding) under any circumstances or for any reasons whatsoever. Therefore, the Second Party shall enter into an individual working agreement in a form of PKWT (Perjanjian Kerja Untuk Waktu Tertentu) with each and every Personnel assigned to or placed in the Work Location, as required in the prevailing manpower regulation/law, and ensure such signed PKWT shall remain valid and enforceable during their assignment or placement in the Work Location. Violation against this provision is considered as material breach to this Agreement.
6.8 memberitahukan secara tertulis kepada seluruh Personil bahwa dalam hal apapun Personil yang ditugaskan atau ditempatkan di Lokasi Kerja tidak memiliki hubungan hukum secara langsung dengan Pihak Pertama, dalam keadaan apapun atau dengan alasan apapun. Oleh karena itu, Pihak Kedua wajib memastikan setiap Personil tersebut telah menandatangani perjanjian kerja individual dalam bentuk PKWT (Perjanjian Kerja Untuk Waktu Tertentu), sebagaimana dipersyaratkan dalam peraturan /perundangundangan ketenagakerjaan yang berlaku , dan memastikan PKWT yang ditandatangani oleh Personil tersebut akan tetap berlaku selama penugasan atau penempatan mereka di Lokasi Kerja. Pelanggaran klausul ini dianggap sebagai pelanggaran berat atas Perjanjian ini.
6.9 during his/her placement in Work Location, all Personnel shall not commit any criminal and illegal activities such as theft , fraud , and other activities that can be potentially indicated: (i) pose hazards or giving bad influence to other employees of the First Party, or (ii) harm, pose hazards or giving bad influence against the business interests of the First Party. Any illegal or criminal activities committed by Personnel while working in Work Location may result criminal suit being charged against particular Personnel under the applicable laws and regulations.
6.9 selama penempatan di Lokasi Kerja, seluruh Personil tidak akan melakukan aktivitas kriminal atau illegal dan aktivitas lainnya yang secara potensial terindikasi dapat: (i) membahayakan atau memberikan pengaruh tidak baik/buruk karyawan Pihak Pertama lainnya, atau (ii) merugikan, membahayakan, atau memberikan pengaruh tidak baik/buruk terhadap kepentingan usaha Pihak Pertama. Seluruh kegiatan ilegal dan kriminal yang dilakukan oleh Personil selama ditempatkan di Lokasi Kerja dapat mengakibatkan dikenakannya tuntutan pidana terhadap Personil yang bersangkutan berdasarkan peraturan perundang-undangan yang berlaku.
6.10 reporting to the Police authority institution if the Personnel has been found (both indicated or proven) commiting a criminal act mentioned in point 6.9 above and for this purpose, the First Party will notify of the above matter within a period of 24 (twenty four) hours after he becomes aware of such criminal act to the the Second Party.
6.10 melaporkan kepada Polisi bilamana terdapat Personil yang ditemukan (baik terindikasi maupun terbukti) melakukan tidakan kriminal sebagaimana disebutkan dalam butir 6.9 di atas dan untuk tujuan ini, Pihak Pertama akan memberitahukan hal tersebut di atas dalam jangka waktu 24 (duapuluh empat) jam setelah menyadari adanya tindakan kriminal tersebut kepada Pihak Kedua.
6.11 In order to support the sustainability of the implementation and completion of the Work, the Second Party upon received of written request from the First Party, agrees and warrants to immediately replace any Personnel assigned in the Work Location with replacement Personnel who meet the requirements and acceptable to the First Party, no later than 5 (five) Working Days, since the receipt of written notice/request from the First Party, if under the opinion of the First Party, such Personnel,: (i) is considered disrupting the environment in the Work Location, or (ii) incompetent or not experts / professionals or unsuitable to perform the Work, or (iii) does not show/demonstrate satisfactory performance or the performance is below the standard expected by the First Party, or (iv) is indicated/proven to have violated internal rules and regulations enforced by the First Party.
6.11 untuk menjaga keberlangsungan pelaksanaan dan penyelesaian Pekerjaan, Pihak Kedua setelah menerima permintaan tertulis dari Pihak Pertama, setuju dan menjamin untuk segera mengganti Personil yang ditugaskan di Lokasi Kerja dengan Personil pengganti yang memenuhi persyaratan dan dapat diterima oleh Pihak Pertama, paling lambat 5 (five) Working Days, terhitung sejak diterimanya pemberitahuan /permintaan tertulis dari Pihak Pertama, apabila menurut pendapat Pihak Pertama, Personil dimaksud,: (i) dianggap mengganggu suasana di lingkungan Lokasi Kerja, atau (ii) tidak kompeten atau tidak cakap atau tidak ahli/profesional atau tidak cocok untuk melakukan pekerjaannya, atau (iii) tidak dapat menunjukkan kinerja yang memuaskan atau dibawah standar yang diharapkan oleh Pihak Pertama, atau (iv) terindikasi/terbukti melanggar peraturan dan regulasi internal yang diterapkan oleh Pihak Pertama.
Notwithstanding the foregoing, specific for security, cleaning services, messenger, drivers, and other general duties, if there is a Personnel who cannot attend the Work / absent for whatsoever reasons, then the Second Party shall provide Personnel replacement in the same day at the time of such Personnel is absent.
Meskipun dengan adanya ketentuan diatas, khusus untuk petugas keamanan, petugas kebersihan (cleaning services), sopir (driver ), messenger , dan pekerjaan umum lainnya, apabila terdapat Personil yang tidak masuk kerja/absen oleh sebab apapun, maka Pihak Kedua harus menyediakan Personil pengganti pada hari yang sama pada saat Personil tersebut diketahui tidak masuk/absen.
6.12 The Second Party shall act in a faithful manner in providing any information to the First Party and while providing the Services in accordance with rules/code of conduct applicable in the First Party and terms and conditions of this Agreement. The Second Party shall ensure the Attendance List and other information requested by the First Party is provided in correct and complete manner and in the form agreed by the Parties. Any false/incorrect/mislead information given by the Second Party or misconduct act of behavior of the Second Party will be considered as material breach of this Agreement.
6.12 Pihak Kedua wajib menerapkan prinsip kejujuran dan keterbukaan dalam memberikan setiap informasi kepada Pihak Pertama dan sekaligus terkait dengan penyediaan Jasa sesuai dengan aturan/tata tertib yang berlaku di Pihak Pertama dan syarat serta ketentuan Perjanjian ini. Pihak Kedua wajib memastikan Daftar Absensi dan informasi lain yang diminta oleh Pihak Pertama disediakan dalam keadaan benar dan lengkap, dalam bentuk yang disepakati Para Pihak. Setiap informasi palsu/tidak benar/menyesatkan yang diberikan oleh Pihak Kedua atau tindakan tidak jujur dari Pihak Kedua adalah merupakan pelanggaran berat dari Perjanjian ini.
6.13 The Second Party shall ensure all Personnel assigned or placed in Work Location, under any circumstances and for any reasons whatsoever shall not be affiliated with unproductive organization or participate in any activities that might be hinder the smooth execution of Work or bringing detrimental effect to the First Party’s business interest or the environment in the Work Location. In the event, any of Personnel is found to be engaged in such activities, the the Second Party shall be liable for appropriate disciplinary and the Second Party agrees to provide replacement Personnel in accordance with Point 6.11 above.
6.13 Pihak Kedua wajib memastikan seluruh Personil yang ditugaskan atau ditempatkan di Lokasi Kerja, dalam keadaan apa pun dan dengan alasan apapun, tidak akan berafiliasi dengan organisasi yang tidak produktif atau berpartisipasi dalam kegiatan yang mungkin dapat menghambat kelancaran pelaksanaan Pekerjaan atau membawa pengaruh buruk terhadap kepentingan usaha Pihak Pertama atau lingkungan di Lokasi Kerja. Jika ditemukan adanya Personil yang terlibat dalam kegiatan/aktivitas tersebut, maka Pihak Kedua wajib melakukan tindakan disipliner yang diperlukan, dan Pihak Kedua setuju untuk menyediakan Personil pengganti sesuai dengan ketentuan Butir 6.11 di atas .
7. Sanction/Liquidated Damages/Indemnification
7.
7.1 The Parties agree if the Second Party for any reason whatsoever, neglect or failure to carry out the Work in accordance with the scheduleed timeline specified by the First Party in the PO or the implementation process is being obstructed due to negligence of the Second Party in providing replacement Personnel, then the First Party shall have the right to impose the liquidated damages to the Second Party in an amount of 1% (one percent) of the total Work Fee set out in the relevant PO (PO Value) for each day of delay up to a maximum of 20% (twenty percent) of the total PO Value so delayed .
7.1 Para Pihak sepakat apabila Pihak Kedua oleh karena sebab apapun, lalai/tidak dapat melaksanakan Pekerjaan sesuai dengan waktu yang ditentukan oleh Pihak Pertama dalam PO atau proses pelaksanaan Pekerjaan terhambat karena kelalaian Pihak Kedua dalam menyediakan Personil pengganti, maka Pihak Pertama berhak mengenakan denda kepada Pihak Kedua sebesar 1% (satu persen) dari total Biaya Pekerjaan yang tercantum di dalam PO yang relevan (nilai PO), yang dihitung per Hari keterlambatan sampai dengan jumlah maksimum sebesar 20% (dua puluh persen) dari total Biaya Pekerjaan atas PO yang mengalami keterlambatan.
7.2 The Parties agree to indemnify all damages (100%), including but not limited to all costs and expenses incurred by the First Party or third party related to losses or damages of Asset done by the Second Party and/or its Personnel. Negligence of the Second Party to comply with this provision will be considered as material breach of this Agreement.
7.2 Pihak Kedua dengan ini setuju untuk mengganti seluruh kerugian yang timbul (100%), temasuk tetapi tidak terbatas pada seluruh biaya yang diderita oleh Pihak Pertama atau pihak ketiga sehubungan dengan kehilangan atau kerusakan Aset yang dilakukan oleh Pihak Kedua atau Personilnya. Kelalaian Pihak Kedua dalam memenuhi klausul ini dianggap sebagai pelanggaran berat terhadap Perjanjian ini.
7.3 With respect to Point 7.2 above, the First Party with prior written notice to the Second Party, reserves the right for reimbursement of any and all cost incurred by the First Party to recover such damage or loss (“Recovery Cost”)
7.3 Sehubungan dengan Butir 7.2 di atas, Pihak Pertama dengan pemberitahuan tertulis terlebih dahulu kepada Pihak Kedua, berhak atas pengembalian seluruh biaya yang dikeluarkan oleh Pihak Pertama untuk

by deducting the invoice of Management Fee submitted by the Second Party, provided that if the amount stated in the invoice submitted by the Second Party is insufficient to pay the Recovery Cost, the Second Party shall pay the shortage amount to the First Party within 7 (seven) Days upon receipt of invoice submitted by the First Party.
memulihkan kerugian atau kerusakan yang timbul (”Biaya Penggantian”) dengan memotong tagihan Biaya Manajemen yang disampaikan oleh Pihak Kedua, dengan ketentuan jika tagihan yang disampaikan oleh Pihak Kedua tidak mencukupi untuk membayar Biaya Penggantian, maka Pihak Kedua wajib membayarkan kekurangan biaya penggantian kepada Pihak Pertama dalam waktu 7 (tujuh) Hari setelah menerima tagihan dari Pihak Pertama.
8. Service Change Order
8.
8.1 The Work shall be executed by the Second Party according to the terms and conditions in this Agreement. The Parties may, upon mutual consent, make any necessary modification/variation to the Scope of Service and/or Scope of Work. Such modification/variation may be imeplemented before or during the implementation of the Work.
8.1 Pekerjaan wajib dilaksanakan oleh Pihak Kedua sesuai dengan syarat dan ketentuan dalam Perjanjian ini. Para Pihak dapat, atas persetujuan bersama, dapat melakukan perubahan terhadap Lingkup Jasa dan/atau Lingkup Pekerjaan yang dianggap perlu. Perubahan tersebut dapat dilakukan sebelum atau pada saat pelaksanaan Pekerjaan. 8.2
8.2 The Second Party is obliged to perform any modification/variation as referred to in Point 8.1 above after having obtained the written approval from the First Party clearly specifying the types and details of such modification/variation.
Perubahan Permintaan Jasa
Pihak Kedua wajib melaksanakan perubahan yang dimaksud pada Butir 8.1 di atas setelah mendapatkan persetujuan tertulis dari Pihak Pertama yang secara jelas menyebutkan jenis dan perincian perubahan dimaksud.
8.3 In case that such modification/variation as referred to in Point 8.1 above is causing addition or reduction to the Work Fee, then such Work Fee shall be adjusted accordingly upon agreement of the Parties.
8.3 Dalam hal terjadi perubahan sebagaimana Butir 8.1 di atas dimaksud pada mengakibatkan penambahan atau pengurangan Biaya Pekerjaan, maka akan dilakukan penyesuaian Biaya Pekerjaan, berdasarkan kesepakatan Para Pihak.
8.4 The modification/variation as referred to in this Point 8, shall apply and binding, if such is stated in writing and approved by the Parties by way of issuing a new PO or revised the PO, including initiating amendment or addendum of the Agreement if such is deemed necessary by the First Party.
8.4 Perubahan sebagaimana dimaksud pada ketentuan Butir 8 ini, akan berlaku dan mengikat, apabila dinyatakan secara tertulis dan disetujui oleh Para Pihak, dengan jalan membuat PO baru atau melakukan revisi PO, termasuk melakukan perubahan atau addendum terhadap Perjanjian, apabila dipandang perlu oleh Pihak Pertama.

Therefore, all responsibilities related with such Personnel of previous subcontractor shall be deemend to have been transferred in full to the Second Party.

10. In case this Agreement expired or terminated for any reason whatsoever, the Second Party at the First Party request, shall:

(i) do all things reasonably necessary as requested by the First Party to allow the First Party’s business to continue operating without interruption or adversely affecting following termination or expiry and to facilitate the orderly transfer of responsibility for and conduct of the Services and/or the Work to an alternate subcontractor company (or to the First Party should the First Party so elect); or
(i) melakukan segala tindakan sewajarnya yang diperlukan untuk memungkinkan usaha Pihak Pertama terus berlangsung tanpa interupsi atau akibat merugikan setelah pengakhiran atau berakhirnya Perjanjian dan memfasilitasi serah terima tanggung jawab atas dan pelaksanaan Jasa dan/atau Pekerjaan kepada perusahaan penyedia jasa pengganti (atau kepada Pihak Pertama jika Pihak Pertama memilih demikian); atau
(ii) immediately withdraw all Personnel assigned or placed in Work Location or upon its sole and absolute discretion of the First Party, to transfer all or some of its Personnel to other subcontracting company in accordance with section 6.10 of this Agreement and return all working equipment provided by the First Party/properties (Asset”) entrusted to the Personnel to carry out the Work (if any) and repair any damage caused by the Personnel during assigned or placed in Work Location (if any).

Lampiran B Pembayaran dan Pajak
1. Invoicing and Payment 1.1 The Second Party's invoices related with the performance of this Agreement shall be submitted in accordance with the schedule set forth below and will be payable when the Services have been fully and complete accepted by the First Party. The Services shall be delivered free from all claims, liens, and charges whatsoever. The First Party reserves the right to require, before making payment of Working Fee, related with Personnel have been paid by the Second Party for the previous months.
1. Tagihan Dan Pembayaran 1.1 Tagihan Pihak Kedua terkait dengan pelaksanaan Perjanjian ini harus disampaikan menurut jadwal seperti diatur di bawah ini dan akan dibayarkan jika Jasa tersebut telah diterima sepenuhnya dan secara lengkap oleh Pihak Pertama. Jasa yang diberikan oleh Pihak Kedua harus bebas dari tuntutan, tanggungan, dan biaya lainnya apapun lainnya. Pihak Pertama berhak untuk meminta pembuktian sebelum melakukan pembayaran Biaya Pekerjaan sehubungan dengan Personil yang telah dibayarkan oleh Pihak Kedua untuk bulan-bulan sebelumnya.
1.2 To ensure proper administration and control process, original invoice(s) along with all required documents mentioned in Point 1.8 below shall be submitted to the First Party no later than the 5th day of each month or in the next Working Day if such determined date falls under public holiday. Invoicing document must be submitted by the Second Party to the First Party no later than 3 (three) months from Working Period (example: invoice Work for Period January 2017 at the latest must be received by the First Party at the end of March 2017). For the avoidance of doubt, Working Period shall mean the calculation of Working Days of the assigned Personnel, as of the 16 th day of the previous month until the 15 th day of the following month (eg: Work Period of Employment for January 2017 is as of the date December 16, 2016 until January 15, 2017). The First Party reserves full right to reject any invoice submitted after such given time frame or if such invoice is submiited in incomplete/incorrect manner. The Parties agree all the risks, losses, claim/lawsuit arising out of delay and/or incorrect or incomplete submission of the invoice shall be under responsibility of the Second Party.
1.2 Untuk memastikan proses administrasi dan kontrol yang sesuai, tagihan dan dokumen penagihan yang dimaksud pada butir 1.8 di bawah ini, wajib disampaikan kepada Pihak Pertama paling lambat tanggal 5 setiap bulannya atau Hari Kerja berikutnya apabila tanggal tersebut jatuh pada hari libur. Dokumen tagihan wajib disampaikan oleh Pihak Kedua kepada Pihak Pertama paling lambat 3 (tiga) bulan sejak Periode Kerja (contoh: invoice Periode Kerja Januari 2017 paling lambat harus diterima oleh Pihak Pertama pada akhir bulan Maret 2017). Untuk menghindari keragu-raguan, yang dimaksud dengan Periode Kerja adalah perhitungan Hari Kerja atas Personil, yaitu terhitung sejak tanggal 16 bulan sebelumnya sampai dengan tanggal 15 bulan berikutnya (misal: Periode Kerja Januari 2017 adalah terhitung sejak tanggal 16 Desember 2016 sampai dengan tanggal 15 Januari 2017). Pihak Pertama berhak untuk menolak tagihan yang disampaikan setelah melewati jangka waktu yang diberikan tersebut di atas atau dokumen penagihan yang diberikan tidak lengkap/tidak benar. Para Pihak sepakat segala resiko, kerugian, dan/atau tuntutan/gugatan yang timbul akibat dari keterlambatan dan/atau kesalahan penyampaian/ketidaklengkapan tagihan menjadi tanggung jawab Pihak Kedua.
1.3 The Work Fee set forth in this Agreement is excluding VAT and Management Fee.

1.6 In the event the payment date is due on public holiday, the payment will be made by the First Party on the next Working Day.
1.6 Apabila tanggal jatuh tempo pembayaran jatuh pada hari libur, maka pembayaran akan dilakukan oleh Pihak Pertama pada 1 (satu) Hari Kerja berikutnya.
1.7 All Payment will be made by the First Party to the banking institution/account number under the name of the Second Party as informed by the Sconed Party from time to time in the invoice. In the event of a change of banking institutions and/or account numbers, the Second Party shall provide written notice to the First Party 30 (thirty) Days prior to such changes. The First Party will have no liability for error/failure in payments made to institutions and/or accounts if it is due to the Second Party’s negligence/failure in giving information about the account data/ updates in a timely manner.
1.7 Pembayaran akan dilakukan oleh Pihak Pertama ke institusi bank/nomor rekening atas nama Pihak Kedua yang diinformasikan dari waktu ke waktu dalam invoice. Dalam hal terdapat perubahan dari institusi bank dan/atau nomor rekening, Pihak Kedua harus memberikan pemberitahuan tertulis kepada Pihak Pertama 30 (tigapuluh) Hari sebelum efektif berlakunya perubahan dimaksud. Pihak Pertama tidak memiliki tanggung jawab atas terjadinya kesalahan/kegagalan dalam pembayaran ke institusi bank dan/atau nomor rekening yang disebabkan kelalaian/kesalahan dalam memberikan informasi mengenai data rekening/perubahannya secara tepat waktu.
1.8 The Second Party shall issued an original invoice & tax invoice (faktur pajak) in 1 (one) copies specifying the Working Fee of the Services rendered by the Second Party during the previous calendar month. In order to be accepted and processed by the First Party, the invoice(s) must be accompanied with the following doucuments:

1.11 The Second Party agrees that First Party, by prior written notification, has the right to conduct audit on the Second Party's compliance to all applicable manpower regulations in Indonesia, including but not limited to perform finance audit to verify all payment made by the Second Party to each Personnel, including but not limited to payment of total invoices amount paid, Jamsostek, income tax PPh 21, medical insurance and basic salary payment to the Personnel. In the event it is proven that the First Party has made over-payment(s) to the Second Party, the First Party reserves the full right to adjust and deduct the next invoices of the Second Party. In such case, the Second Party agrees to issue credit note(s) (or other mechanism mutually agreed by the Parties) to refund to the First Party the over payment.
1.11 Pihak Kedua sepakat bahwa Pihak Pertama, dengan pemberitahuan tertulis sebelumnya, berhak untuk melakukan audit terhadap kepatuhan Pihak Kedua atas segala peraturan ketenagakerjaan yang berlaku di Indonesia, termasuk tidak terbatas pada melaksanakan audit untuk verifikasi semua pembayaran yang dibayarkan oleh Pihak Kedua ke setiap Personil, termasuk namun tidak terbatas pada pembayaran jumlah total tagihan yang dibayarkan, Jamsostek, pajak penghasilan (PPh 21), asuransi kesehatan dan pembayaran gaji pokok ke Personil. Dalam hal terbukti bahwa Pihak Pertama melakukan kelebihan pembayaran ke Pihak Kedua, Pihak Pertama berhak sepenuhnya untuk menyesuaikan atau memotong tagihan berikutnya dari Pihak Kedua. Dalam hal tersebut, Pihak Kedua wajib menerbitkan nota kredit atau mekanisme lain yang disepakati oleh Para Pihak untuk mengembalikan kelebihan pembayaran tersebut kepada Pihak Pertama.
2. Taxes

2.1 Except for VAT or as otherwise provided in this Agreement, all duties (as it applies to the Second Party), taxes and social insurance contributions (“BPJS”) (“Taxes”) arising out of or in connection with the Second Party’s performance under this Agreement shall be borne by the Second Party. The Parties agree that the Work Fee shall include all such Taxes and that such Worki Fee will not be changed hereafter as a result of the Second Party’s failure to include therein any applicable Taxes. the Second Party shall indemnify, release, and hold harmless the First Party from its failure to

2.2 For the VAT payment, the Second Party shall issued a tax invoice (faktur pajak) with 1 (one) copy specifying the Working Fee of the Services rendered by the Second Party during the previous calendar month and provide the following required tax invoice documents: i. Copy of Periodic Tax Return (Surat Pemberitahuan Masa (PPN) 1111; ii. Copy of form 1111-A2; iii. Copy of Tax Payment Slip (Surat Setoran Pajak (SSP); iv. Copy of receipt tax letter (Bukti Penerimaan Surat) issued by Tax Service Office (Kantor Pelayanan Pajak).
2.2 Untuk pembayaran PPN, Pihak Kedua wajib menerbitkan faktur pajak dengan 1 (satu) salinan yang menyebutkan Biaya Pekerjaan dari Jasa yang diberikan Pihak Kedua selama bulan sebelumnya dan melengkapi dokumen faktur pajak sebagai berikut: i. Salinan dari Surat Pemberitahuan Masa (PPN) 1111; ii. Salinan dari form 1111-A2; iii. Salinan dari Surat Setoran Pajak (SSP); iv. Salinan dari Bukti Penerimaan Surat yang diterbitkan Kantor Pelayanan Pajak.
2.3 In the event that the VAT report as mentioned in point 2.2 above submitted by the Second Party after 2 (two) months time after the date of tax invoice, then the Second Party shall revise the date of tax invoice at the latest 2 (two) months prior to the submission date of such VAT report to the First Party for the payment process. Any failures to timely revise the tax invoice by the Second Party, the First Party reserves the right to reject payment of VAT proposed by the the Second Party.
2.3 Apabila bukti pelaporan pajak yang disebutkan pada butir 2.2 di atas diberikan oleh Pihak Kedua setelah 2 (dua) bulan dari tanggal faktur pajak, maka Pihak Kedua wajib merevisi tanggal faktur pajak paling lambat 2 (dua) bulan sebelum tanggal penyerahan bukti lapor PPN tersebut kepada Pihak Pertama untuk dapat dilakukan proses pembayaran. Kegagalan dari Pihak Kedua untuk merevisi faktur pajak dalam jangka waktu yang ditentukan, Pihak Pertama berhak untuk menolak pembayaran PPN yang diajukan Pihak Kedua.
2.4 Payment for invoice value before VAT (Dasar Pengenaan Pajak (DPP) may be settled on its payment due date, eventhough the requirements as mentioned in point 2.2 above have not been completed yet
2.4 Pembayaran atas tagihan Dasar Pengenaan Pajak (DPP) tetap dapat dibayarkan pada saat jatuh tempo pembayaran, meskipun persyaratan sebagaimana dimaksud pada butir 2.2 di atas belum terpenuhi.
2.5 With respect to the payment of WHT article 23 (PPh 23), the Management Fee paid by the First Party to the Second Party is subject to WHT Article 23 (PPh 23) in accordance with prevailing tax regulation. Such WHT will be deducted directly by the First Party against Management Fee payable by the First Party to the Second Party. The Second Party may collect the WHT tax deduction certificate (Bukti Potong) for PPh 23 in the following month after the payment for such tax made by the First Party to Tax authority
2.5 Sehubungan dengan pembayaran PPh 23, Pihak Kedua mengetahui dan menyetujui Biaya Manajemen yang dibayarkan oleh Pihak Pertama kepada Pihak Kedua merupakan objek PPh 23 berdasarkan peraturan pajak yang berlaku. Pajak penghasilan tersebut akan dipotong secara langsung oleh Pihak Pertama terhadap Biaya Manajemen yang dibayarkan oleh Pihak Pertama kepada Pihak Kedua. Pihak Kedua dapat mengambil bukti potong PPh Pasal 23 pada bulan berikutnya setelah pembayaran untuk pajak tersebut dilakukan oleh Pihak Pertama kepada otoritas Pajak

Attachment C / Lampiran C Scope of Services/ Cakupan Layanan The Scope of Services provided for in this Agreement shall be executed and provided by [Name of the Second Party], among others/ Cakupan Layanan yang diberikan dibawah Perjanjian ini harus dieksekusi dan diberikan oleh [Nama Pihak Kedua], antara lain 1.
The Second Party shall conduct a selection and recruitment process, among others competency, behaviour, technical competency, profilling as well as interview, including but not limited to signing of employment contract for each employee, (PKWT) referring to the working terms and conditions agreed upon by the Second Party and the First Party

Pihak Kedua wajib melakukan proses seleksi dan rekrutmen, antara lain kompetensi, perilaku, kompetensi teknis, profilling serta wawancara, termasuk namun tidak terbatas pada penandatanganan kontrak kerja untuk setiap karyawan, (PKWT) yang mengacu kepada persyaratan syarat dan kondisi yang disepakati oleh Pihak Kedua dan Pihak Pertama

The Second Party shall organize training programs as necessary and equip Personnel placed in First Party with adequate skills to perform their tasks assigned to them by First Party.
2. Pihak Kedua wajib menyelenggarakan program pelatihan yang diperlukan dan melengkapi Personil yang ditempatkan di Pihak Pertama dengan keterampilan yang memadai untuk melakukan tugas mereka yang ditugaskan kepada mereka oleh Pihak Pertama.

The Second Party shall conduct administration related to human resources for all the personnel placed within the First Party’s office or any other designated location First Party may assign, including but not limited to: calculation of salary, PPh, Jamsostek, other incentive, calculation of shift work, etc., as well as continually providing coaching and evaluation in order that the Personnel placed within the First Party’s office may demonstrate their best performance. The Second Party shall also manage employee reimbursement services.
3. Pihak Kedua wajib melakukan administrasi yang berkaitan dengan sumber daya manusia untuk semua personil yang ditempatkan di kantor Pihak Pertama atau setiap lokasi lain yang ditetapkan oleh Pihak, termasuk namun tidak terbatas pada: perhitungan gaji, PPh, Jamsostek, insentif lainnya , perhitungan shift kerja, dll, serta terus memberikan pembinaan dan evaluasi agar Personil yang ditempatkan di kantor Pihak Pertama dapat menunjukkan performa terbaik mereka. Pihak Kedua harus menyediakan semua dokumentasi yang diperlukan untuk proses penggantian biaya. Pihak Kedua wajib memberikan salinan semua dokumentasi untuk membenarkan biaya penggantian tersebut.

The Second Party shall make available documentations related to the rendered services under Contract related with invoicing and payment. First Party reserves the right to reject any invoices without being equipped with proper documents for proceed with payment
5. Pihak Kedua wajib membuat dokumentasi yang tersedia terkait dengan layanan yang diberikan sesuai dengan Perjanjian ini yang terkait dengan tagihan dan pembayaran. Pihak Pertama berhak untuk menolak setiap tagihan tanpa dilengkapi dengan dokumen yang tepat untuk melanjutkan dengan pembayaran

The Second Party shall under this Agreement provide outsourcing services and its scheme for the following positions: Skilled and experienced Personnel stationed in First Party’s Jakarta main office or other designated working location. Any other positions to meet the First ’s Party request and if requested from time to time by the First Party.
6. Pihak Kedua berdasarkan Perjanjian ini memberikan jasa layanan outsourcing dan skema untuk posisi sebagai berikut: Personil berpengalaman dan terampil untuk ditempatkan di kantor utama Pihak Pertama di Jakarta atau lokasi kerja lainnya yang ditunjuk.
The normal working hours is 8 hours per day, 5 days a week and when deemed necessary, First Party reserves the right to extend the working hours of the assigned Personnel of Second Party without incurring overtime cost to First Party for any reasons whatsoever.
7. Jam kerja normal adalah 8 jam per hari, 5 hari seminggu dan jika dianggap perlu, Pihak Pertama berhak untuk memperpanjang jam kerja Personil yang ditugaskan dari Pihak Kedua tanpa menimbulkan biaya lembur untuk Pihak Pertama untuk alasan apapun.

Setiap posisi lainnya untuk memenuhi permintaan Pihak Pertama dan jika diminta dari waktu ke waktu oleh Pihak Pertama.

1. Service Request Form (SRF) as per Attachment E shall be completed and signed by the authorized official in the First Party’s management in which case the signature of the division head of the Human Resources Department Head of First Party are required as approval.

5. First Party will then issue a Purchaser Order for purchasing the Services to the Second Party containing at least the following: quantity of desired Personnel, position, date of expiration of the assignment, etc.

WORK FEE
A.
BIAYA PEKERJAAN
1.
Basic pay follows the salary scale determined by the First Party. This amount shall be fully received by the Personnel.

Gaji pokok akan mengikuti skala gaji yang ditetapkan oleh Pihak Pertama (jumlah harus sama dengan yang di kolom C dari struktur Format harga, ditetapkan pada Lampiran D). Jumlah ini akan diterima sepenuhnya oleh Personil.

Jamsostek (social security program) of 4.54% 2. against basic salary or in compliance with the prevailing regulations. Within a maximum of 3 (three) months upon signing of the Contract, Second Party shall provide Jamsostek Card to all Personnel & submit a copy of the same to First party’s designated representative in its Human Resources Department (“First Party Representative”). In the event new Personnel is hired, Second Party shall enroll the new hire into Jamsostek and submit a copy of the card to First Party Representative. Second Party shall provide each individual Personnel’s annual Jamsostek balance report no later than April of the coming year, to each of the Personnel, privately and confidentially. The annual reports will be submitted to First Party Representative.

(Dalam waktu maksimal 3 (tiga) bulan setelah penandatanganan Kontrak, Pihak Kedua wajib memberikan Kartu Jamsostek untuk semua Personil & menyerahkan salinan yang sama untuk perwakilan pihak pertama yang ditunjuk dalam Surat Departemen Sumber Daya Manusia ( “Perwakilan Pihak Pertama”). Dalam hal Personil baru dipekerjakan, Pihak Kedua wajib mendaftarkan Personil Baru Tersebut ke Jamsostek dan menyerahkan salinan kartu untuk Perwakilan Pihak Pertama. Pihak Kedua wajib memberikan laporan neraca Jamsostek tahunan setiap individu Personil ini selambat-lambatnya April dari tahun yang akan datang, untuk masingmasing personil, pribadi dan rahasia. Laporan tahunan akan diserahkan kepada Wakil Pihak Pertama.

T unjangan Hari Raya Keagamaan (“ THRK” ) of 3. one month basic pay. The one month basic salary amount shall be paid to the Personnel no later than two (2) weeks before the due date of such festival. In the event Personnel have less than twelve (12) months services time, the amount shall be prorated accordingly.
Tunjangan Hari Raya Keagamaan ( “THRK”) dari satu bulan gaji pokok. Satu bulan jumlah gaji pokok akan dibayarkan kepada Personil paling lambat 2 (dua) minggu sebelum tanggal jatuh tempo dari festival tersebut. Apabila masa kerja Personil kurang dari dua belas (12) bulan waktu layanan, jumlah tersebut harus di hitung prorata.

All of the employees’ income shall be subject 4. to PPh 21 (Income Tax) to be charged and paid by Second Party to the Goverment tax office. Second Party shall furnish al l Personnel with annual income tax remitance report no later than February of the following year.
Semua pendapatan karyawan wajib dikenakan PPh 21 (Pajak Penghasilan 21) yang akan dikenakan dan dibayar oleh Pihak Kedua ke kantor pajak Pemerintah. Pihak Kedua wajib memberikan semua Personil dengan laporan remitansi pajak penghasilan tahunan (bukti pemotongan pajak) paling lambat

First Party shall has the right to perform financial audit to ensure payment remitance to all Personel is in accordance to the agreed price specifiend in the PO. Failure to remit payment as shown on the PO, shall give the full right to First Party to deduct the invoices of the Second Party. Such invoices deduction shall be paid to the un-paid party(ies).
