Preferred shares have preference over common shares and any cash distributions owed to preferred shareholders are paid out before common stockholders. Preferred shareholders may also receive an annual dividend payment equal to a percentage of their investment. This dividend is usually “cumulative” (i.e. if the company cannot afford to pay the dividend in one year, any unpaid amount rolls over to the next year and is added to the dividend due in the next year). The dividend may either be “compounding” or “non-compounding” (i.e. treated as a compound interest or simple. non-compounding interest).
