SAMPLE WORK FOR HIRE AGREEMENT: Photographer
This AGREEMENT AGREEMENT dated 00/00/2011 made by and between SAMPLE NAME (hereinafter referred to as "Photographer"), 12345 SESAME STREE and NOT A REAL COMPANY RECORDS (hereinafter called "Record Company"), 234567 SESAME STREET . WHEREAS, Photographer will or has rendered certain photographs entitled and described (with copies of same attached) in Schedu le A attached hereto, (collectively, the "Works") to that Record Company; and, WHEREAS, Record Company desires that Photographer be co mpensated for these efforts; NOW, THEREFORE, Photographer and Record Company agree as follows: 1. Photographer hereby agrees that each photograph comprising the Works (as entitled in Schedule A) and any an y derivatives thereof created by Photographer shall constitute "works made for hire" as that term t erm is defined under 17 U.S.C. sec. 101, and the author and owner of the Works is deemed to be Record Reco rd Company (or its authorized designee); and without limiting the generality of the forego ing, Photographer agrees the Works are a commissioned work, are a contribution to a collective work, and are supplementary works. In any event, Photographer do es hereby assign, transfer and set over to Record Company, Company, its successors and assigns, one o ne hundred percent (100%) (10 0%) of Photographer's entire right, title and interest, including without limitation any and all socalled "moral rights," in and to the t he Works, together with all copyrights therein and thereto throughout the world and any and all renewals and extensions of copyright therein now known or hereafter existing under any law, rule, statute and/or regulation now known o r hereafter enacted or promulgated, and including without limitation the exclusive right to administer such copyrights. The Works shall be the sole and e xclusive property of Record Company in perpetuity, free from any claim whatsoever by Photo grapher or any other person or entity. Photographer will execute and de liver to Record Company such instruments of transfer and other documents regarding the rights of Record Company in the Works as Record Company Co mpany may reasonably request to carry out the purposes of this agreement and Record Company may sign such documents in Photographer's name a nd on his behalf and make appropriate disposition of same. Record Company shall have t he unlimited right to exploit the Works for all purposes by any means o r media now or hereafter devised, and in any form whatsoever, under any trademarks, tradenames and labels with no additional compensation payable to Photographer other than as stated herein. Neither the expiration nor termination of the agreement pursuant to which the Works were produced shall affect the o wnership by Record Company of the Works.
2. In consideration consideration of Photographer's services and transfer of interest therein, Record Company shall pay Photographer the amount a mount of Two thousand dollar ($2,000), receipt rece ipt and sufficiency of which is hereby acknowledged. acknow ledged. 3.
Photographer warrants and represents that:
(a) The Works are of original authorship with Photographer, and nothing therein shall require any permission or consent by any third party and/or entity, except as provided herein. (b) The Works will in no manner whatsoever defame any third party and/or entity, and the Works shall not invade against any of the rights of any third party and/or entity, including without limitation, the rights of privacy and publicity. (c) Photographer has the full right, power power and authority to enter into and fully perform this agreement and to grant all of the rights granted herein, and that the t he consent of no other person, p erson, firm firm or corporation is required to grant such rights. 4. Parties hereto shall indemnify and hold hold each other harmless from any and all third party claims, liabilities, liabilities, costs, co sts, losses, losses, damages or o r expenses as are actually incurred by the non-defaulting party arising out of any breach of any a ny representations or warranties of the defaulting party contained in this agreement or o r any failure by defaulting party to perform any obligations on its part to be performed perfor med hereunder. Non-defaulting party shall give defaulting party prompt written notice of all claims and the right to participate in the defense with counsel of its choice cho ice at its sole expense. In no event shall Photographer be entitled to seek injunctive or any other equitable relief for any breach or non-compliance with any provision of this Agreement. 5. The compensation set forth above is full and complete complete payment to you for all your services and rights in respect of the Work. No additional sums will be due to you or any other entity as a result of the exploitation of o f the Works.
