MEMORANDUM OF AGREEMENT
KNOW ALL MEN BY THESE PRESENTS: This MEMORANDUM OF AGREEMENT entered into b y and between: _________________________________, a______________________ established and existing under the laws of the Republic of the Philippines, with business address at _____________________________, represented herein by ______________________, __________________________, herein referred to as the COMPANY. -andUNIVERSITY OF SANTO TOMAS, a duly accredited educational institution with business address at Espana, Manila, herein represented represented by Fr. Rolando V. de la la Rosa, O.P., hereinafter referred to as the SCHOOL. -WITNESSETHWHEREAS, the SCHOOL, an accredited institution of learning that offers college education and training programs, seeks to provide its students with the necessary exposure and training in actual worksites to prepare them for employment upon graduation. WHEREAS, upon request of the SCHOOL, the COMPANY has agreed to admit studenttrainees to the COMPANY¶S on-the-job training (OJT) Program in support of the COMPANY¶S objective of providing students with the actual on-the-job experience to match the academic curricula with the industry demands; NOW, THEREFORE, in consideration of the foregoing premises, the parties hereby agree as follows: 1. The SCHOOL considering the requirements set by the COMPANY, shall pre-screen and endorse to the COMPANY a list of student-trainees for OJT placement. 2. The SCHOOL shall invite the COMPANY to participate in its job placement activities. 3. The COMPANY shall require each student-trainee to submit a Letter of Recommendation from the SCHOOL before ad mission mission to the t he OJT Program. 4. The OJT shall be held within the COMPANY premises and scheduled during the hours ______________, Mondays-Fridays only. 5. The duration of the OJT Program shall be for Two Hundred Hours (200) subject to item No. 4 above. 6. The COMPANY through its Practicum Supervisor agrees to accomplish the following: a. Provide student-trainees with appropriate tasks that will give them ample and practical work experiences in their field of spec ialization; b. Assist the student-trainees in the preparation of the work o utline sheet; c. To regularly monitor and evaluate the performance of the student-trainees during the entire internship period.
d. Issue a certificate of completion (if and when the student-trainees have satisfactorily accomplished the tasks); e. Accomplish an evaluation form that measures the professional and personal qualities of the student-trainees and, f. Attendance sheet. 7. The COMPANY shall orient the student-trainees on the policies of the COMPANY including its OJT/Practicum Rules and Regulations. 8. The SCHOOL shall also advise the student-trainees to abide by the COMPANY¶s policies and OJT/Practicum Rules and Regulations and any violation thereof during the training may be a ground for withdrawal of the student-trainee from the OJT Program. 9. The SCHOOL shall voluntarily withdraw a student-trainee who fails to observe or violates the COMPANY¶S policies and/or OJT Practicum Rules and Regu lations. 10. The COMPANY shall accept the student-trainees under the OJT program solely for the purpose of allowing the student-trainees to complete the SCHOOL¶s requirements for graduation. As such, there is no employer-employee relationship between the COMPANY and the student-trainee. The accommodation of the COMPANY does not give rise to an obligation to the COMPANY to hire the student-trainee after completion of the OJT. 11. The COMPANY shall not be liable for any accident or injury that the student-trainee may suffer during the course of the OJT, provided, however, that the said accident or injury did not arise by reason of the fault or negligence of the COMPANY and/or any of its employees, officers and directors. The SCHOOL and the student-trainee shall renounce and waive any claim against the COMPANY for any loss or injury that the student-trainee may suffer and which arises from the fault or negligence of the student-trainee in performance of his/her duties and functions dur ing the OJT. 12. The SCHOOL shall advise the student-trainees to exercise diligence in the performance of the tasks assigned to them and that the student trainees shall be responsible for any and all liabilities and damages to person or property as a consequence of their intentional or negligent acts during the OJT. 13. The SCHOOL, student-trainees and/ or their parents/legal guardians shall not hold the COMPANY liable, legal or otherwise, for any obligations beyond the scope of this agreement. 14. The COMPANY shall provide the student-trainee a work outline that will give him/her the ample opportunity for actual work exposure and shall regularly evaluate their progress and performance. 15. The SCHOOL and the student-trainee shall ensure that all confidential information the student-trainees may obtain during the course of his/her training shall not be disclosed to any person or party without the written permission of the COMPANY. 16. The breach of any of the foregoing covenants shall be a ground for the non-breaching party to cancel or terminate this Memorandum of Agreement. 17. The term of this Contract is from ___________to ____________ unless otherwise sooner terminated by either party by giving at least one-month prior notice of termination to the other party. This Agreement may be extended or renewed upon the expiration thereof under such terms and conditions that may be agreed upon by the parties in writing.
