NON-DISCLOSURE AGREEMENT
The undersigned consultant agrees to the following: 1.
During the regular course of business with Cuttingedge Consultant tant Translat Translation ion Services Services Pvt. Ltd. Ltd. (Cuttin (Cuttinged gedge) ge) , Consul may be provided with confidential information.

The confidential may incl includ ude, e, but but is not not confidential information information may limited to the following: Trade Secrets, Privacy Act Information, Client Names & Personal Factual Data, Prototype Specifications for for Prod Produc ucts ts & Proc Proced edur ures es,, Trai Traini ning ng Mate Materi rial als, s, Clas Classi sifi fied ed Gover Governme nment nt Docume Documents nts,, Classi Classifie fied d Commer Commercia ciall Docume Documents nts,, Photographs, Video & Audio Recordings, Models, and Electronic Files.

The Consultant will protect any/all information from unauthorized disclosure, and will limit disclosures to personnel with a confirmed “need to know”.

The Consultant will not copy, distribute, disclose, discuss, publish electronically and/or in print any information, or abstract of su such ch info inforrmati mation on,, withou thoutt prio priorr writte tten per permissio ssion n of Cuttingedge.

All All inform informati ation/ on/mat materi erials als must must be return returned ed to Cuttingedge , or destroyed upon completion of the specific project for which they were obtained.

You agree not to discuss or negotiate any fees or payments pa yments directly with any of our clients. At any time you are engaged by us, during which you may have contact with our client, you will represent yourself only as a representative of Cuttingedge.

The Consultant agrees to be bound by this Non – Disclosure Agreement for a period of no less than three (3) years. Cuttingedge has the right to seek injunctive relief from a competent court in the event of an unauthorized disclosure by the Consultant.
9.
The placed consultant shall not apply for a permanent position with the client of Cuttingedge for freelancing, part-time work, daily work or permanent position for a min period of 1 year from the date of commencement of the project.
10.
While you are free to perform similar services for other firms, you agree not to solicit or accept work from any individual or company of whom you became aware through your work with Cuttingedge , unless you had a prior business relationship with this individual or company. This clause shall remain in effect for 3 years from the date on which this Agreement is terminated. Failure to comply with this clause may subject you to injunctive relief and/or monetary damages.

Warranty: The consultant warrants that the services to be provided hereunder will be performed in a good and professional manner and will be of a quality conforming to standards generally accepted in the field and has to reflect standards accepted by Cuttingedge . I hereby agree on the above terms and conditions set by Cuttingedge .
