Section 4 Terms and Conditions Scope: Our offer is subject to the following conditions of supply and read together with the deviations from your specification listed, if any, in our offer and is strictly limited to the scope of supply of equipment as detailed in section –2. Any additions to bill of material during detailed engineering shall be extra as per unit pri ce. Prices: The prices quoted are on Ex-works Bangalore basis and are exclusive of export packing and forwarding (1%). Further, the Ex-works prices are exclusive of all taxes and levies as may be applicable against the Concessional forms you may submit. As imposed by central/state governments or any other statutory bo dy and the same shall be charged to you extra at actuals and as prevailing on the date of despatch, if payable by us. E.D @ 12.36% and sales tax @ 2% agains t C Form or without C form full tax @14. 5%.

Terms of Payment:  100% advance against PI. Delivery: 4 weeks from date of full advance. The above delivery period is given in goo d faith and is subject to our principals/suppliers being able to procure the necessary raw materials and components without undue difficulties or delay due to reasons beyond our/their reasonable control. Further the delivery period is subject to the usual force majeure conditions at our/our supplier’s work. Freight & Insurance Charges: Freight & Insurance – M/s Vacon AC. Warranty: We shall repair/replace at our option, free of cost, the whole or any portion of material which under normal and proper use and maintenance process proves defective in material and/or workmanship within 12 months from the date of commissioning or 18 months from the date of shipment, whichever is earlier provided prompt notice is given of such defects. Such repair/replacement shall be affected within a reasonable time actually required to do so. Our liability arising out of supply or material or its use, whether on warranties or otherwise shall not in any case exceed the cost of correcting the defects or replacing the defective material and upon expiration of the period mentioned above, all such liability shall terminate. The purchaser should make arrangements to deliver the defective material to o ur works at their cost.

Contd…….section 4 Further, our liability in any case does not extend to consequential damages and/or for any direct/indirect expenses for repairs/replacements or otherwise paid/incurred without our authority. We accept no liability for defect/depriciation caused by damage in transit, dampness, negligence, inadequate shortage, misuse or other abnormal conditions due directly to circumstances beyond our control. Cenvat: The ex-works prices calculated and quoted by us in this quotation. Validity: Our offer is valid for your acceptance for a period of 60 days from date of this quotation unless previously withdrawn. Beyond this date, it shall be subject to our confirmation in writing. At the time of re-validation, we reserve the right to review the price and/or delivery of it based on the conditions existing at that point o f time. Supervision of installation & commissioning – Per man-day rate for supervision of installation and commissioning = Rs.10,000/The per man-day rate quo ted above assumes that: [a] A normal 8 hours day, 6 days a week. In case of overtime or holiday, the rate shall be 50% more. [b] You will reimburse at actuals to and fro travel expenses from Bangalore by Air/Train Ist class/Taxi depending on urgency. [c] You will provide lodging, boarding and local conveyance at site free of cost. In case, you are unable to provide these facilities, the per day rate shall be Rs. 10,000/-
