Gentlemen: The following constitutes your and our agreement ("Contract"). 1. Services.  During the term of this Contract ("Term") you shall, in  accordance with he provisions hereof, render your services to us and furnish to  us the services of one (1) or more producers  for the purpose of recording and  delivering to us so­called "Masters" referred to and defined below. 2.

Terms.

(a)  The Term shall consist of an "Initial Period" of and of the  "Renewal Periods" for which we shall have exercised the options hereafter  provided.  We shall have four (4) separate options, each to extend the Term for a  Renewal Period.  The Initial Period and each Renewal Period are each hereafter  sometimes referred to generally as a "Contract Period."  Each chronological order  as the "First Renewal Period", the "Second Renewal Period", the "Third Renewal  Period" and the "Fourth Renewal Period".  We may exercise each option to  extend the Term for a Renewal Period by giving you written notice of our  election to do so at any time prior to the commencement of the Renewal Period  for which our option is exercised;

(b) (i)  The Initial Period shall commence on the date  hereof and shall continue until the later of:  (A)  the date eighteen (18) months  after the date hereof;  or (B) the date one hundred eighty (180) days, or such  fewer number of days of which we may advise you in writing, after the initial  release in the United States, if any, of the last LP required to be delivered to us in  fulfillment of your Recording Commitment for the Initial Period,  which initial  release shall be deemed for purposed of this paragraph only to occur on the  earlier of (1) the date of the actual initial release in the United States, if any, of  that last LP; or (2) the date that is sixty (60) days after your delivery to us of that  last LP.  No days between November 15 and February 15 of the next calendar  year shall be taken into account for purposed of determining the duration or end  of that sixty (60) day period referred to in the immediately­preceding sentence;  and ; (ii)  Each Renewal Period shall run consecutively,  shall commence upon expiration of the immediately­preceding Contract Period  and shall continue until the later of:  (A) the date eighteen (18) months after the  commencement of the Renewal Period; or (B) the date one hundred eighty (180)  days, or such fewer number of days of which we may advise you in writing, after  the initial release in the United States, if any, of the last LP Commitment for that  Renewal Period, which initial release shall be deemed for purposes of this  paragraph only to occur on the earlier of:  (1) the date of the actual initial release  in the United States, if any, of the last LP; or (2) the date that is sixty (60) days  after your delivery to us of that last LP.  No days between November 15 and  February 15 of the next calendar year shall be taken into account for purposed of  determining the duration or end of that sixty (60) day period referred to in the  immediately­preceding sentence; and (c) If for any reason you fail to deliver to us the first LP  required to be delivered to us in fulfillment of your Recording Commitment for  any Contract Period within four (4) months after the commencement of that  Contract Period and we have the right, at our election, to require you to deliver  to us during that Contract Period a second, optional LP (sometimes referred to as  the "Optional LP") in addition to that first LP, the then­current Contract Period  shall automatically be extended and shall continue until the later of:  (i) the date  fourteen (14) months after the date of your delivery to us of the first LP in  fulfillment of your Recording Commitment for that Contract Period; and (ii) the  date one hundred eighty (180) days, or such fewer number of days of which we  may advise you in writing, after the initial release in the United States, if any, of  the last LP required to be delivered to us in fulfillment of your Recording  Commitment  for that Contract Period, which initial release shall be deemed for  purposed of this paragraph only to occur on the earlier of:  (A)  the date of the 

actual initial release in the United States, if any, of that last LP; or (B) the date  that is sixty (60) days after the delivery to us of that last LP.  No days between  November 15 and February 15 of the next calendar year shall be taken into  account for purposes of determining the duration or end of that sixty (60) day  period referred to in the immediately­preceding sentence. (d)   Notwithstanding the foregoing or anything else  contrary contained herein, the Term shall not end unless and until you deliver to  us a notice expressly referring to this paragraph and indicating that we have  theretofore failed during the then­current Contract Period to exercise our option  to extend the Term for the next Renewal Period on or before the date that is  thirty (30) days after we receive that notice from you, as if that date were the  original expiration date of the Term, without any liability or additional  obligations to you in connection therewith. 3.

Recording Commitment.

(a)   (i)  Your recording commitment hereunder  ("Recording Commitment") is as follows.  During the Initial Period you shall  record for and you shall deliver to us, at a minimum, Masters sufficient to  constitute one (1) LP, plus, at our option, Masters sufficient to constitute one (1)  additional LP.  During each Renewal Period you shall record for and you shall  deliver to us, at a minimum, Masters sufficient to constitute one (1) additional  LP.  The second, additional LP that we may elect that you record for and deliver  to us in fulfillment of your Recording Commitment during any Contract Period  is sometimes referred to as the "Optional LP".  We may exercise our option for  the Optional LP to be recorded and delivered to us during a Contact Period by  giving you notice of our election to do so at any time prior to the expiration of  that Contract Period.  Accordingly, you may be required to produce, record and  deliver to us as many as ten (10) LPs in fulfillment of your Recording  Commitment.  Those ten (10) LPs that you may be required to deliver to us in  fulfillment of your Recording Commitment hereunder are referred to  consecutively in chronological order as the "First LP", "Second LP", "Third LP",  "Fourth LP", "Fifth LP", "Sixth LP", "Seventh LP", "Eighth LP", "Ninth LP" and  "Tenth LP"; and (ii)  Intentionally Deleted. (b) You shall deliver to us the first LP required hereunder  to be recorded and delivered to us during a Contact Period no later than three (3)  months after the commencement of that Contract Period.  You shall deliver to us  any additional LPs required to be delivered to us in fulfillment of your 

Recording Commitment during a Contract Period (including, without limitation,  the Optional LP) on or before the later of (i) the date that is three (3) months after  we notify you of our election that you do so only if we are required to notify you  separately of our election that you deliver to us the additional LP in fulfillment of  your Recording Commitment during that Contract Period or (ii) the date that is  twelve (12) months after your delivery to us of the immediately­prior LP in  fulfillment of your Recording Commitment during that Contact Period.  You  shall not without our prior written consent, however, either (A) commence the  recording of any Masters for any LP in fulfillment of your Recording  Commitment prior to the date that is nine (9) months after the date your delivery  to us of the immediately­prior LP in fulfillment of your Recording Commitment  or (B) deliver to us an LP in fulfillment of your Recording Commitment prior to  the date that is ten (10) months after the date of your delivery to us of the  immediately­prior LP in fulfillment of your Recording Commitment. 4.

Recording Procedures.

(a) You shall designate and submit to us for our approval  the producer of each of the Masters, the Musical Compositions or other  Selections which shall be embodied in those Masters, all other individual  rendering services in connection with the recording of those Masters, the studios  at which those Masters shall be recorded, and the dates of recording of those  Masters (collectively referred to as "Recording Elements").  The Recording  Elements for all Masters shall be subject to our prior written approval.  You shall  also prepare and submit to us for our prior written approval a recording budget  for all "Recording Costs" of those Masters, defined below, in such detail as we  shall require ("Recording Budget").  The Recording Budget shall set forth in  detail all costs and expenses to be paid or incurred for the production, recording  and delivery to us of the Masters, including, without limitation, all Recording  Costs and all advances and fees payable to the producers of the Masters.  No  recording sessions shall be commenced nor shall any commitments be made or  costs incurred hereunder with respect to any Masters until and unless we shall  have approved in writing each Recording Element and the Recording Budget for  those Masters.  If we shall disapprove of any Recording Element or Recording  Budget submitted by you, then our decision regarding a substitute Recording  Element and Recording Budget shall be final; (b) You shall furnish to us at such times as we shall  require all union contracts forms, report forms, invoices and other information  that we shall require so that we promptly may pay all Recording Costs,  otherwise comply with any of our obligations in connection with the Masters, 

release Phonograph Records embodying the Masters and otherwise exploit the  Masters; (c) At our election, recording sessions for the Masters  shall be conducted under our designee's recording license; (d)

Our representatives may attend recording sessions for 

the Masters; (e) You shall deliver to us the Masters promptly after  their completion.  All original session tapes and any derivatives or reproductions  thereof shall be delivered to us concurrently, or, at our election, maintained at a  recording studio or other location designated by us, in our name and subject to  our control.  Each Master shall be subject to our approval as commercially and  technically satisfactory for the manufacture and sale of Phonograph Records,  and, upon our request, you shall re­record any Musical Composition or other  Selection until a Master commercial and technically satisfactory to us shall have  been obtained; (f) Each Master shall embody your vocal and  instrumental performances as the sole featured artist of a single Music  Composition previously unrecorded by you or by any other person and shall be  recorded in its entirety in a recording studio.  Accordingly, no Masters shall be  recorded in whole or in part at live concerts or other live performances.  Each LP  delivered to us in fulfillment of your Recording Commitment shall embody  recordings of no fewer than eight (8) and nor more than ten (10) Musical  Compositions.  You shall not record or deliver hereunder nor shall we be  obligated to accept Masters constituting a Multiple LP.  However, if you shall do  so and we shall accept those Masters hereunder, then, at our election, for the  purpose of calculating the number of Masters recorded and delivered hereunder,  those Masters shall be deemed to constitute only one (1) LP; (g) Any Masters which are not recorded or delivered in  all respects in accordance with the terms hereof shall not, unless we otherwise  consent in writing, apply towards the fulfillment of your Recording  Commitment.  Furthermore, if we shall make any payments with respect to any  Masters which shall not have been recorded or delivered in all respect in  accordance with the terms hereof, you shall, upon our demand, pay to us the  amount thereof and we may, without limiting our other rights and remedies,  deduct that amount from any monies payable by us hereunder; and 

(h) If for any reason you delay the commencement of or  are unavailable for any recording sessions for the Masters, you shall upon our  demand, pay us an amount equal to the expenses or charges paid or incurred by  us by reason thereof.  We may, without limiting our other rights and remedies,  deduct that amount from any monies payable by us hereunder. 5.

Recording Costs.

(a) We shall pay the Recording Costs of the Masters  recorded at recording sessions conducted in accordance with the terms hereof in  an amount not in excess of the Recording Budget designated by us or approved  in writing.  If the Recording Costs of any Maters shall exceed the Recording  Budget approved by us in writing, you shall be solely responsible for and shall  promptly pay the excess.  If, however, we pay the excess, you shall, upon our  demand, pay to us the amount thereof and we may, without limiting our other  rights and remedies, deduct that amount from any monies payable by us  hereunder.  You shall be solely responsible for and shall pay any payments to  any individuals rendering services in connection with the recording of the  Masters which exceed union scale unless the excess and the recipient thereof  shall have been specified in the Recording Budget approved by us in writing.  You shall also be solely responsible for and shall pay any penalties incurred for  late payments caused by your delay in submitting union contracts form, report  forms, or invoices or other documents.  If, however, we pay any excess not  approved by us in writing or any penalties, you shall, upon our demand, pay to  us the amount thereof, and we may, without limiting our other rights and  remedies, deduct that amount from any monies payable by us hereunder; and (b) The term "Recording Costs" shall mean and include  all minimum union scale payments made to you, all payments made to any other  individuals rendering services in connection with the production and recording  of the Masters (including, without limitation, the individual producers and co­ produces of the Masters), all other payments which are pursuant to any  applicable law or regulation or the provisions of any collective bargaining  agreement between us and any union or guild (including, without limitations,  payroll taxes and payments to union pension and welfare funds), all amounts  paid or incurred for studio or hall rentals, tape, engineering, editing, instrument  rentals and cartage, mastering, transportation and accommodations, immigration  clearances, trademark and service mark searches and clearances, and so­called  "per diems" for any individual (including you) rendering services in connection  with recording of the Masters, together with al other amounts paid or incurred in  connection with the production, recording and delivery to us of the Masters.  Recording Costs shall be recoupable from royalties payable by us hereunder.

(6) Rights.  All Master Recordings recorded during the Term  which embody your performances, form the inception of the recording thereof,  shall , for purposes of copyright law, be deemed works made for hire for us by  you and all other persons rendering services in connection with those Master  Recordings as our employees for hire.  Those Master Recordings, from the  inception of the recording thereof, and al Phonograph Records and other  reproductions made therefrom together with the performances embodied therein  and all Phonograph Records and other reproductions make therefrom the other  with the performances embodied therein and all copyrights therein and thereto  throughout the world, and renewals and extensions thereof, shall be entirely our  property, free of any claims whatsoever by you or any other person, firm or  corporation.  We shall, accordingly, have the exclusive right to obtain registration  of copyright (and all renewals and extensions) throughout the world in those  Master Recordings, in our name, as the owner and author thereof.  If for any  reason we shall be deemed not to be the author of those Master Recordings, this  Contact shall constitute an irrevocable transfer to us of ownership of copyright  (and all renewals and extensions) throughout the world in those Master  Recordings, and accordingly, you hereby grant, transfer, convey and assign  directly to us the entire worldwide right, title and interest, including, without  limitation, the copyright, the right to secure copyright registration and any and  all copyright renewal rights, in and to all Master Recordings recorded during the  Term which embody your performances.  You shall, upon our request, cause to  be executed and delivered to us transfers of ownership of copyright (and all  renewals and extensions) in those Master Recordings and any other documents  as we may deem necessary or appropriate to vest in us the rights granted to us in  this Contract, and you hereby irrevocably appoint us your attorney­in­fact for the  purpose of executing those transfers of ownership and other documents in your  names.  Without limiting the generality of the foregoing, we and any person,  firm, or corporation designated by us shall have the exclusive, perpetual,  worldwide right to manufacture, sell, distribute and advertise Phonograph  Records and other reproductions embodying those Master Recordings under any  trademarks, trade names or labels, and to lease, license, convey and otherwise  exploit and use those Master Recordings by any method (whether now known or  unknown) and in any media (whether now known or unknown) and to perform  publicly Phonograph Records and other reproductions embodying those Master  Recordings, all upon such terms as we may approve, or we may refrain form  doing any or all of the foregoing. 7.

Name and Likeness.

(a) We and any person, firm or corporation  designated by us shall have the perpetual, worldwide right to use and to permit  other to use your name (both legal and professional, and whether presently or  hereafter used by you), approved likeness, other identification, and approved  biographical material concerning you, and the name and likeness of any  producer rendering services in connection with Master Recordings recorded by  you during the Term for purposes of trade and advertising.  We shall have the  further right to refer you during the Term as our exclusive recording artist and  you shall in your activities in the entertainment field use reasonable efforts to  cause you to be billed and advertised during the Term as our exclusive recording  artist.  The rights granted to us pursuant to this paragraph with respect to your  name, likeness, other identification and biographical material concerning you  shall be exclusive during the Term and non­exclusive thereafter.  Accordingly,  but without limiting the generality of the foregoing, you shall not authorize or  permit any person, firm, or corporation other than us to use, during the Term,  your legal or professional name or your likeness in connection with the  advertising or sale of Phonograph Records. (b) Any materials described in this Paragraph 7  which are submitted by you shall be deemed approved by you.  In the event you  fail to submit any such material, we shall select the material to be used in  connection herewith.  The material by us shall be deemed approved by you  unless you notify us to the contrary within five (5) days after we make such  material available to you for inspection and you submit satisfactory alternative  material. (c)  (i) If, during the Term, you or any entity on your  behalf intends to enter into a Merchandising Agreement (as "Merchandising  Agreement" is defined below), them we shall have a so­called "Right of First  Negotiation" as provided in this subparagraph.  As used herein the term  "Merchandising Agreement" shall mean an agreement whereby you, or an entity  on your behalf shall sell, transfer, assign, license or otherwise dispose of any  right to reproduce your name, likeness, logo or other materials concerning you  on or in connection with products (other than Phonograph Records) which are  sold to the public, whether in retail outlets, at tour venues, or otherwise.  You  shall notify us of your desire to enter into that Merchandising Agreement and, at  our election, you and we shall immediately negotiate in good faith the terms and  conditions pursuant to which we may, if at all, enter into a Merchandising  Agreement with you.  If for any reason you and we are unable to agree on the  terms and conditions of such a Merchandising Agreement not later than thirty (3)  days after your notice to us of your intent to enter into same, then our Right of 

First Negotiation shall end and, if applicable, we shall have the so­called  "Matching Right" referred to and defined in subparagraph (c) (ii) below; and   (ii)  Neither you not any entity on your behalf shall  enter into any Merchandising Agreement without first offering to us the right to  enter into a Merchandising Agreement with you, or that entity for the same bona  fide advance and pursuant to the same bona fide terms offered by or to you or  that entity by any responsible, prospective unrelated third party, which terms  may, however, only provide for payment of cash in lump sum or installations.  You shall give us written notice (which notice shall set forth the name of  prospective merchandiser, advance and all other terms contained in such offer)  of any such bona fide and acceptable offer as described above and we shall have  thirty (30) days after our actual receipt of such notice in which to notify you as to  whether we desire to enter into a Merchandising Agreement with you for the  advance and pursuant to the terms set forth in said notice.  If we fail to give you  notice within such thirty (30) day period that we are exercising our option to  enter into a Merchandising Agreement with you, then you shall have the right to  accept the bona fide offer by the prospective merchandiser, but only as set forth  in your notice to us; provided you shall notify us of acceptance within five (5)  days after the execution of the Merchandising Agreement.  IF you do not execute  a Merchandising Agreement with the prospective merchandiser within sixty (60)  days after the expiration of that thirty (3) day period referred to above, then the  procedure set forth in this subparagraph shall once again be followed by you or  any entity on your behalf before you or that entity may enter into a  Merchandising Agreement. 8. Advances.  We shall pay you, as advances recoupable from  royalties earned by you hereunder, the following amount at the following times: (a) For each LP recorded and delivered to us in  fulfillment of your and Artist's Recording Commitment, the amount indicated  below, payable one­half (1/2) after the commencement of the recording sessions  for that LP in accordance with all the terms hereof, and the  balance promptly  after satisfactory delivery and acceptance of that LP: (i) For the First LP and the Second LP, the  Advance shall be Fifteen Thousand Dollars ($15,000).  Notwithstanding the  foregoing, you hereby agree to waive the advances in connection with the  foregoing LP's. (ii) For the Third LP and the Fourth LP, the  Advance shall be Twenty Thousand Dollars, ($20,000.00);

(iii) For the Fifth LP and the Sixth LP, the Advance  shall be Twenty­Five Thousand Dollars, ($25,000.00); (iv) For the Seventh LP, and the Eighth LP, the  Advance shall be Thirty Thousand Dollars ($30,000.00); (v) For the Ninth LP, and the Tenth LP, the  Advance shall be Thirty­Five Thousand Dollars ($35,000.00). (c) All "tour support" monies paid to you or on your  behalf and all direct expenses paid or incurred by us in connection with the  independent promotion of Phonograph Records hereunder (i.e. promotion by  Persons other than our regular employees or those of the distribution of the  Phonograph Records concerned), will also constitute advances which shall be  fully recoupable from royalties payable to you hereunder. 9.  Royalties. (a) On Net Sales of Phonograph Records embodying  Masters, we shall pay you a royalty computed by multiplying the Suggested  Retail List Price ("SRLP"), less the deductions hereafter provided by the  applicable royalty rate set forth below:

(B) As the advances payable pursuant to  Article 8 have been waived by you in connection with the First LP and the  Second LP, royalties payable in connection with those LPs shall be payable  without regard to any such waived advance.

(ii)

On Records sold for distribution in Canada: 

LPs ­ 8% and Singles 0 8%; (iii) On Records sold for distribution the United  Kingdom:  LPs ­ 7% and Singles 7%; (iv) On Records sold for distribution in Austria,  Belgium, Luxembourg, Denmark, Finland, France, Greece, Monaco, West  Germany, Holland, Italy, San Marino, Norway, Spain, Andorra, Sweden,  Switzerland, Liechtenstein, Portugal, Japan or Australia, LPs ­ 5% and Singles ­  5%; (b)

Notwithstanding the foregoing:

(i)  (A)  On Phonograph Records sold through a direct  mail or mail order distribution method (including, without limitation, through  so­called "record clubs"), through retail stores in connection with special radio or  television advertisements (sometimes referred to as "key outlet marketing"), shall  be one­half (1/2) of the otherwise applicable royalty rate.  On those Phonograph  Records manufactured and sold by a licensees of ours, however, your royalty  shall be an amount equal to fifty percent (50%) of the Net Royalty from the sale  of those Phonograph Records;       (B)  If (1) the aggregate of your Phonograph  Records (including Phonograph Records hereunder) distributed in the United  States as "free" or "bonus" Phonograph Records pursuant to our agreement with  any record club licensee distributing Phonograph Records hereunder in the  United States, shall exceed the aggregate of our Phonograph Records (including  Phonograph Records hereunder) sold thereunder, and (2) the number of  Phonograph Records hereunder distributed in the United States by that record  club licensee ads "free" or "bonus" records shall exceed the number of  Phonograph Records hereunder sold by that record club licensee in the United  States (hereinafter such excess is referred to as "excess club Phonograph Records  hereunder"), then we shall credit your royalty account hereunder with that  portion of the adjusting royalty payment or credit in reduction of an advance  previously received by us, if any, made by that record club licensee to us in  respect thereof to be determined by multiplying fifty percent (50%) of that  adjusting royalty payment by a fraction , the numerator of which is the number  of excess club Phonograph Records hereunder and the denominator or which is  the sum of the number of excess club Phonograph Records, if any, for each of our  artists (including the number of excess club Phonograph Records hereunder);

(ii) On Phonograph Records sold for use as premiums or  in connection with the scale, advertising, or promotion of any other product or  service, the royalty rate shall be one­half (1/2) of the otherwise applicable royalty  rate and the SRLP of those Phonograph Records shall be deemed to be an  amount equal to the monies actually received by us from the sale of those  Phonograph Records, unless manufactured and sold by a licensee of ours, in  which event the SRLP shall be deemed to be the price used by that licensee in  accounting to us; (iii) On Mid­Price Records the royalty rate shall be two­ thirds (2/3) of the otherwise applicable royalty rate, and on Budget Records the  royalty rate shall be one­half (1/2) of the otherwise applicable royalty rate; (iv) On Phonograph Records sold to any government, its  subdivision, department or agencies (including Phonograph Records sold for  resale thorough military facilities) or to educational institutions or libraries, the  royalty rate shall be one (1/2) of the otherwise applicable royalty rate; (v) On Long­Play Singles, the royalty rate shall be two­ thirds (2/3) of the otherwise applicable base royalty rate for the LPs; and on EPs  the royalty rate shall be two­thirds (2/3) of the otherwise applicable royalty rate  for LPs; (vi) On Multiple LPs, the royalty rate shall be the lesser of:  (A) the otherwise applicable royalty rate and (B) the otherwise applicable royalty  rate multiplied by a fraction, the numerator of which is the SRLP of the Multiple  LP and the denominator of which is the product of the SRLP of a topline  Conventional single­disc LP and the number of discs contained in the Multiple  LP; (vii) On a so­called "Compact Disc", the royalty rate shall  be seventy­five percent (75%) of the otherwise applicable royalty rate based upon  the SRLP of a top­line, full priced Compact Disc, sold in the country of sale as  shall be determined by us or our distributor from time to time with reference to  the relevant wholesale price and shall be applied consistently to a majority of our  then­current recording artists.  For purposes of computing royalties on Compact  Disc sold, there shall be deducted from the SRLP (or other applicable price, if  any, upon which royalties are calculated) of Compact Discs an amount equal to  twenty­five percent (25%) thereof in lieu of any amount set forth in  subparagraph 9 (c) (iii) (B) below;

(ix) On Masters licensed by us to others on a royalty basis  for the manufacture and sale of Phonograph Records, your royalty shall be an  amount equal to one­half (1/2) of the Net Royalty from the sale of those  Phonograph Records; (x) On Audio­Visual Recordings embodying your  performances, your royalty shall be as follows: (A) On Audio­Visual Records your royalty shall be  computed accordance with the provision of this paragraph 9 applicable to LPs,  except on sales of Audio­Visual Recordings the United States the royalty rate  pursuant to subparagraph (a) (i) above shall be deemed to be ten percent (10%)  and on sales of Audio­Visual Records outside of the United States the royalty  rate pursuant to subparagraph (a) (ii) above shall be deemed to be five percent  (5%), and the SRLP of those Audio­Visual Records shall be deemed to be an  amount equal to the monies actually received by us form the sale of those Audio­ Visual Records, (rather that their actual SRLP or any other price), less thirty  percent (30%) of those monies as distribution fee.  However, on Audio­Visual  Records manufactured and sold by a licensee of ours, in the United States or  elsewhere, your Net Royalty from the sale of those Audio­Visual Records (rather  then the royalty computed in accordance with the immediately preceding  sentence); and (B) On Audio­Visual Recordings licensed by us to  others on a flat­fee basis for the manufacture and sale of Audio­Visual Records  for any other use, your royalty shall be an amount equal to fifty percent (50%) of  the Net Flat­Fee from the sale of those Audio­Visual Records or from those other  uses of the Audio­Visual Recordings; and (xi) On New Records (as "New Records" are defined  below), the royalty rate shall be seventy percent (70%) of the otherwise  applicable royalty rate and the SRLP of a top­line, full priced New Record sold in  the country of sale and shall be determined by us from time to time with  reference to the relevant wholesale price and shall be applied consistently to a  majority of our then­current recording artists.  For purposes of computing  royalties on New Records sold in the Untied States, there shall be deducted from  the SRLP (or other applicable price, if any, upon which royalties are calculated)  of New Records an amount equal to twenty­five percent (25%) thereof in lieu of  any amount equal to twenty­five percent (25%) thereof in lieu of any amount set  forth in subparagraph 9 (c) (iii) (B) below.  The term "New Record" shall mean a  Phonograph Record of a fundamentally or substantially new  form compared  with the technology or form or Phonograph Records sold through Normal Retail 

Channels in the United States on the date of this Contract.  For example, Digital  Audio Tape or Digital Compact Cassette (also known as "DAT" and "DCC"  respectively), if we elected in our sole discretion to sell Records in the form of  DAT or DCC, would each be a New Record on the date of this Contract; and  (c)

Notwithstanding the foregoing:

(i) No royalties shall be payable on Phonograph Records  furnished as free or bonus Phonograph Records to members, applicant, or other  participants in any record club or other direct mail distribution method; on  Phonograph Records distributed for promotional purposed to radio stations,  television stations or networks, record reviewers, or other customary recipients  of promotional Phonograph Records: on so­called "promotional sampler"  Phonograph Records; on Phonograph Records sold as scrap or as "cut­out"; or on  Phonograph Records(whether or not intended for sale by the recipient) furnished  on a no­charge or free basis (such as, but not limited to, Phonograph Records  commonly described in the record industry as "free goods" or "freebies") or sold  at less than fifty percent (50%) of their regular wholesale price to distributors,  subdistributors, dealers, or others, whether or not the recipients thereof are  affiliated with us: (ii) Royalties on Phonograph Records (whether or not  intended for sale by the recipients) sold at a discount to distributors,  subdistributors, dealers, or others, whether or not affiliated with us (except for  Phonograph Records sold at less than fifty percent (50%) of their regular  wholesale price, for which no royalties are payable hereunder) shall be reduced  in the same proportion as the regular wholesale price of those Phonograph  Records is reduced on those sales; (iii) (A) For purposes of computing royalties, there  shall be deducted from the SRLP (or other applicable price, if any, upon which  royalties are calculated) of Phonograph Records hereunder an amount equal to  any excise, sales, value added, or comparable or similar taxes; and (B) For purposes of computing royalties, there  shall be deducted from the SRLP (or other applicable price, if any, upon which  royalties are calculate) or Phonograph Records hereunder an amount equal to  percent (10%) thereof for Singles packaged in color or other special printed  sleeves, and for LPs, EPs and Long­Play Singles in vinyl­disc form packaged in  our standard singlefold jackets without any special elements (such as, but not  limited to, plastic, cardboard, or printed inner sleeves, inserts, or attachments);  fifteen percent (15%) thereof for all other LPs, EPs, or Long­Play Singles in vinyl­

disc form, for Audio­Visual Records in disk form, and for all other Phonograph  Records in vinyl disc form; twenty percent (20%) thereof for all Phonograph  Records in tape form, such as reel­to­reel tapes, cartridges, cassettes (whether  embodying sound alone or sound accompanies by visual images) and for all  other recorded devices other than vinyl discs, compact disc and New Records;  and twenty­five percent (25%) thereof for all Phonograph Records in the form of  compact discs or New Records; (iv) Royalties shall be computed and paid upon ninety  percent (90%) of Net Sales for which payment has been received;  provided,  however, that if any licensee distributing  Phonograph Records hereunder  through record clubs or other methods of mail order distribution shall compute  and pay royalties t us on those Phonograph Records on less than ninety percent  (90%) of Net Sales, your royalties hereunder on those Phonograph Records shall  be computed and paid on the same percentage of sales as that licensee shall  unitize in computing and paying to us royalties on those Phonograph Records; (v) Phonograph Records distributed by any affiliated  branch wholesalers shall be deemed sold for the purposes of this Contract only if  sold by that affiliated branch wholesaler to one of its independent third party  customers; (vi) The royalty payable to you hereunder on a  Phonograph Record or other device embodying Masters together with other  Master Recording shall be computed by multiplying the otherwise applicable  royalty rate by a fraction, the numerator of which shall be the number of  Selections contained on the Masters which are embodied on the Phonograph  Record or other device and the denominator of which shall be the total number  of Selections embodied on that Phonograph Record or other device; (vii) The royalty payable to you hereunder and the  Recording Costs hereunder on a Master embodying your performances jointly  with any other artist or musician to whom we are obligated to pay a royalty in  respect of that Master shall be computed by multiplying the otherwise applicable  royalty rate and Recording Costs by a fraction, the numerator of which shall be  one (1) and the denominator of which shall be the sum of one (1) and the total  number of other artists or musicians whose performances are embodied on that  Master; and (viii) If we shall elect to calculate royalties on a "wholesale"  basis , in lieu of utilizing the retail basis provided for herein, for Phonograph  Records sold in the United States, then for purpose of computing royalties 

hereunder the SRLP ( or applicable royalty basis) of a particular Phonograph  Record shall be deemed to be a dollar amount computed by multiplying our  then­current price (before consideration of any discounts resulting from the  distribution of free goods)  to our principal distributor of that Phonograph  Record in the United States by a fraction, the numerator of which is the SRLP of a  Comparable Phonograph Record immediately prior to our discontinuance of  retail­based calculations and the denominator of which is our price (before  consideration of any discounts resulting from the distribution of free goods) to  our principal distributor in the United States of a Comparable Phonograph  Record immediately prior to our discontinuance of retail­based calculations.  The  term "Comparable Phonograph Record" shall mean a Phonograph Record of the  same configuration, with the same packaging, and in the same price category as  the Phonograph Record in question. 10.

Royalty Payments and Accountings

(a) We shall send to you statements for royalties payable  hereunder on or before the date thirty (30) days after September 30th for this the  semiannual period ending the preceding June 30th and on or before the date  thirty (3) days after March 31st for the semiannual period ending the preceding  December 31st, together with payment of royalties, if any, earned by you  hereunder during the semiannual period for which the statement is rendered  ( based on our receipts in the United States during the accounting period for  whcih the statement is rendered), less all advances, if any, and charges under this  Contract.  We shall have the right to retain, as a reserve against charges, credits,  or returns, such portion of payable royalties as shall be reasonable in our best  business judgment.  We shall liquidate each reserve retained by us hereunder as  shall be reasonable in our best business judgment but not later than the end of  the fourth (4th) six­month accounting period after that accounting period for  which the reserve is initially retained, but any accounting period in which  returns exceed shipments of Records hereunder shall not be deemed to be one (1)  of those four (4) accounting periods by the end of which a particular reserve  must be liquidated.  You shall reimburse us on demand for overpayments, and  we may also deduct the amount thereof from any monies payable to you  hereunder.  Royalties paid by us on Phonograph Records subsequently returned  shall be deemed overpayment; (b) No royalties shall be payable to you on sales of  Phonograph Records or other exploitation's of Masters by any of our licensees  until payment on those sales has been received in the United States accounting  statements and payment for those sales or other exploitation's of Masters;

(c) (i) Royalties on Phonograph Record sales outside  of the United States shall, except as otherwise herein provided, be based upon  the SRLP on which our licensees or other distributors pay us (and if there are no  SRLPs of Phonograph Recordings any particular country, then for the purposes  of computing royalties hereunder, the prices of Phonograph Records utilized by  our licenses or other distributors in that country for computing royalties payable  to us shall be deemed the SRLPs of those Phonograph Records), shall be  computed in the national currency in which our licensees or other distributors  pay us, shall be credited to your royalty account hereunder at the same rate of  exchange at which our licensee or other distributors pay us, and shall be  proportionally subject to any transfer or comparable taxes which may be  imposed upon receipts; and (ii) If we shall not receive payment in United  States dollars in the United States for any Sales of Phonograph Records outside  of the United States, royalties on those sales shall not be credited to your royalty  account hereunder.  We shall, however, if we are able to do so, accept payment  for those sales in foreign currency and shall deposit in a foreign bank or other  depository, at your expense, in that foreign currency, that portion thereof, if any,  as shall equal the royalties which would have been payable to you hereunder on  those sales had payment for those sales been made to us in United States dollars  in the United States.  Deposit as aforesaid and notice thereof shall fulfill our  royalty obligations hereunder as to those sales.  If any law, ruling or other  governmental restriction limits the about a licensee can remit to us, we may  reduce your royalties hereunder by an amount proportionate to the reduction in  our licensee's remittance to us; (d) You shall be deemed to have consented  to all  royalty statements and all other accountings rendered or required to be  rendered by us hereunder and each royalty statement and other account shall be  conclusive, final, and binding, shall constitute an account stated, and shall not be  subject to any objection for any reason whatsoever, unless you give us notice  stating the specific basis for that objection within two (2) years after the date  rendered or required.  You may not maintain any action, suit, or proceeding of  any nature against us in respect of any royalty statement or other accounting  rendered or required to be rendered by us hereunder (or in respect of the  accounting period to which it relates or was to relate) unless you commence that  action, suit, or proceeding against us in court of competent jurisdiction within  two (2) years after the date rendered or required to be rendered.  If you shall  commence an action, suit, or proceeding against us concerning royalty  statements or other accountings rendered by us to hereunder, the scope of that  action, suite or proceeding shall be limited to determination of the amount of 

royalties, if any, payable to you for the accounting periods in question, and your  sole remedy shall be the recovery of those royalties; (e) We shall maintain books and records  concerning the sale of Phonograph Records hereunder.  You or an independent  certified public accountant on your behalf may, at your own expense, examine  those books and records (but may not examine any of our books or records  relating to the manufacture of Phonograph Record hereunder) solely for the  purpose of verifying the accuracy of royalty statements and other accountings  rendered by us hereunder, only during our normal business hours and only  upon reasonable written notice.  Our books and records relating to a particular  royalty statement or other accounting may be examined only within two (2)  years after the date rendered or required to be rendered.  We shall have no  obligation to permit you to examine our books or records relating to any  particular royalty statement or other accounting more than once.  The rights  hereinabove granted to your shall constitute your sole and exclusive rights to  examine our books and records; (f) All monies paid to you or on your  behalf or to or on behalf of any person, firm or corporation representing you,  other than royalties payable pursuant to this Contract, shall be recoupable from  any sums payable by us under this Contract; and (g) We shall have the right to deduct from  any monies payable to you hereunder any amounts which may be required to be  deducted from any of those monies under any statute, regulation, treaty or other  law, or under any union or guild agreement, any you shall promptly execute and  deliver to us any forms or other documents as any be required in connection  therewith.  If we fail for any reason to deduct and instead pay to you any of those  monies required to be deducted from monies payable to you hereunder, and if,  as a result, we are required by any statue, regulation, treaty or other law or union  or guild agreements to pay to any third party any amounts which were paid to  you but which were required to be deducted, then, without limiting any of our  other rights or remedies in that event, you shall, upon our demand, pay to us the  amount of those moneies which were paid to you but which were required to be  deducted , or at our election, we may deduct the amount of those monies paid to  you but which were required to be deducted from any monies payable to you  hereunder. 11.

Musical Composition Licenses.

(a) You hereby grand to us and our designees the  irrevocable non­exclusive right to reproduce each Controlled Composition or  Phonograph Records and to distribute those Phonograph Records and to  distribute those Phonograph Records in Canada and in the United States; (b) Mechanical royalties shall be payable for Controlled  Compositions on Net Sales of Phonograph Records in Canada and the United  States at the following rates: (i) On Phonograph Records sold in the United  States, the rate for each Controlled Composition embodied thereon shall be the  United States Controlled Compositions Mechanical Rate.  The term "United  States Controlled Composition Mechanical Rate" shall mean an amount equal to  seventy­five percent (75%) of the "United States Mechanical Rate".  The term  "United States Mechanical Rate" shall man an amount equal to the minimum  statutory royalty rate (without regard to playing time) provided in the United  States Copyright Act which is applicable to the reproduction of Musical  Compositions as of the date of delivery to us of the first (1st) Master hereunder  embodying the Controlled Composition in question, or, if earlier, as of the date  upon which that first (1st) Master was required to be delivered hereunder; and (ii) On Phonograph Records sold in Canada, the  rate for each Controlled Compositions embodied thereon shall be the Canadian  Controlled Composition Mechanical Rate.  The term "Canadian Controlled  Mechanical Rate" shall mean an amount equal to seventy­five (75%) of the  Canadian Mechanical Rate.  The term "Canadian Mechanical Rate" shall mean an  amount equal to the minimum statutory rate (without regard to playing time)  provided in the Canadian Copyright Act, if so set or if no such rate is set then the  royalty rate generally applicable to the reproduction of Musical Compositions  between music publishers and record companies in Canada, dealing at arm's  length (but if no royalty rate is generally accepted ten the amount which we may,  in good faith, negotiate), as of the date of delivery to us of the first (1st) Master  hereunder embodying the Controlled Compositions in question, or if earlier, as  of the date upon which that first (1st) Master was required to be delivered  hereunder.  In no event shall the number of Canadian pennies constitution the  Canadian Controlled Composition Mechanical Rate exceed the number of United  States pennies constituting the United States Controlled Composition Mechanical  Rate; and (c)

Notwithstanding the foregoing:

(i) The mechanical royalty rate on a Controlled  Composition which is an arrangement of a public domain work shall be one­half  (1/2) of the United States Mechanical Rate or the Canadian Mechanical rate, as  applicable; the mechanical royalty rate for Controlled Compositions recorded in  an EP, Long­Play Single, Mid­Price Record or Budget Records shall be three  fourths (3/4) of the United States Controlled Composition Mechanical Rate of  Canadian Controlled Compositions Mechanical Rate, as applicable; if any  particular Record (including, without limitation, so­called "cassette singles")  embodies more than one (1) of the same or different recordings of the same  Controlled Compositions, then the United States Controlled Compositions  Mechanical Rate or the Canadian Controlled Composition Mechanical Rate, as  the case may be, shall be payable only once on all reproductions of that  Controlled Composition in that Record; and no mechanical royalties shall be  payable on any Phonograph Records for which no Record royalties are payable  pursuant to paragraph 9 above or otherwise; and (ii) The maximum aggregate mechanical royalty  rate for all Selections, including Controlled Compositions, contained on a  Phonograph Record for sales in the United States shall, regardless of the number  of Selections contained thereon, be the product of (A) the United States  Controlled Composition Mechanical Rate and (B) then (10) for an LP (containing  one (1) or (2) for a Single and a Long­Play Single.  The maximum aggregate  mechanical royalty rate for all Selections, including Controlled Compositions,  contained on a Phonograph Record for sales in Canada shall, regardless of the  number of Selections contained thereon, be the product of (A) the Canadian  Controlled Composition Mechanical Rate and (B) ten (10) for an LP (containing  one (1) or more discs of the tape equivalent), (5) for an EP, and two (2) for a  Single and a Long­Play Single.  If the aggregate mechanical royalty rate  applicable to all of the Selections embodied on any Phonograph Record  hereunder shall exceed the applicable maximum aggregate royalty rate set forth  above for that Phonograph Record, then the aggregate mechanical royalty rate  for the Controlled Compositions, if any, contained thereon shall be reduced by  an amount equal to such excess.  If the aggregate mechanical royalty rate  applicable to all of the Sections embodied on that Phonograph Record shall, even  as reduced in accordance with the immediately preceding sentence, still exceed  the applicable maximum aggregate royalty rate for that Phonograph Record,  then you shall, upon our demand, pay us an amount equal to the additional  mechanical royalties payable as a result of that excess and we may, in addition to  al of our other rights or remedies, deduct that amount from any monies payable  by us hereunder;

(d) We shall account for any pay mechanical royalties on  Controlled Compositions in accordance with the provisions of subparagraphs  (a), (d), (e), and (g) of paragraph 10 above, except we shall send you statements  for those mechanical royalties on or before May 31st for the quarter­annual  period ending the preceding March 31st, on or before August 31st for the  quarter­annual period ending the preceding June 30th, on or before November  30th for the quarter­annual period ending the preceding September 30th, and on  or before the last day of February for the quarter­annual period ending the  preceding December 31st; (e) You shall, upon our request, cause the issuance to use  and our designees of mechanical licenses to reproduce on Phonograph records  Selections which are not Controlled Composition and to distribute those  Phonograph Records in the United States and Canada.  Those mechanical  licenses shall be at rates and on terms no less favorable to us and our designees  that those contained din the standard mechanical license issued by the Harry Fox  Agency, Inc., or any successor with respect to Phonograph Records distributed in  the United States and by CMRRA or any successors with respect to Phonograph  Records distributed in Canada.  In no event, hover, shall those mechanical  royalty rates for Selections which are not Controlled Compositions exceed the  United States Mechanical Rate or Canadian Mechanical Rate set forth in  subparagraph 11 (b) (1) and (ii) above.  You shall also, upon our request, cause  the issuance to us and our designees of mechanical licenses to reproduce  Selections on Phonograph Records hereunder and to distribute those  Phonograph Records outside the United States and Canada on terms no less  favorable to us and our designees that those generally applicable to Phonograph  Record manufacturers in each country in question.  The obligation to account for  and pay mechanical royalties on sales of Phonograph Records outside of the  United States shall be that of our licensees; (f) If the copyright in any Controlled Composition  is owned or controlled by a person, firm or corporation other than you, you shall  cause that person, firm or corporation to grant to us and our designees the same  rights as you are required to grant to us and our designee pursuant to this  paragraph; (g) You hereby grant to us and our designees, at  no fee, royalty, or other cost to us our designees, the irrevocable , non­exclusive,  worldwide right to reproduce and publicly perform each Controlled  Composition on Audio­Visual recordings, to distribute Audio­Visual Records  embodying those Audio­Visual Recordings, and otherwise to exploit in any  manner and though any media those Audio­Visual Recordings.  You shall, upon 

request, cause the issuance to us and our designees, at no fee, royalty, or other  cost to us or our designee, the irrevocable, non­exclusive, worldwide right to  reproduce and publicly perform each Selection which is not a Controlled  Composition on Audio­Visual Recordings and to distribute Audio­Visual  embodying those Audio­Visual Recording, and otherwise to exploit in any  manner or media those Audio­Visual Recordings.  if we or our designees shall  pay any such fee, royalty, or other cost, you shall, upon our demand, pay us the  amount thereof, and we may, in addition to all of our other rights and remedies,  deduct that amount from any monies payable by us hereunder; (h) Any assignment, license or other agreement  made with respect to Controlled Compositions shall be subject to the terms  hereof; and (i) You grant to us and our designees the  irrevocable right to print and reproduce, at our election, the title and lyrics to  each Controlled Compositions embodied in a Master throughout the world in  perpetuity, without payment to you or any other person, firm or of operation of  any monies or consideration in connection therewith.  You also shall cause to be  granted to us and our designees the irrevocable right to print and reproduce, at  our election  the title and lyrics to each Selection that is not a Controlled  Composition embodied in a Master on the packaging of Phonograph Records  embodying Masters throughout the world in perpetuity without payment to you  or any other person, firm or corporation of any monies or other consideration in  connection therewith.  If we are required to pay any monies to any person, firm  or corporation for the printing or reproduction of the title or lyrics of any  Selection recorded in a Master on the packaging of Phonograph Records  embodying Masters, then you shall, upon our demand, pay to us an amount  equal to those monies paid by is in connection therewith and we may, in  addition to all of our other rights and remedies, deduct that amount from any  monies payable to us hereunder. 12.  Audio Visual Recordings. (a) Upon our request, you shall appear for the  making of Audio­Visual Recordings embodying your performance on the  following items; (i) We shall designate the Musical  Composition which shall be embodied in an Audio­Visual Recording, the  producer and director of Audio­Visual Recordings; all other individuals  rendering services in connection with the production of the Audio­Visual 

Recordings , the storyboard and script for the production of the Audio­Visual  Recordings, and the locations at the dates on which the Audio­Visual Recordings  shall be produced (collectively refereed to as "Audio­Visual Production  Elements") or, at our election, you shall designate and submit to us for our prior  written approval one (1) or more Audio­Visual Production Elements.  We shall  consult with you regarding the Audio Visual Recording Elements; (ii) We shall pay the Audio­Visual Production  Costs of the Audio­Visual Recordings in an amount not in excess of a written  budget approved by us in writing.  The Audio­Visual Production Costs shall  mean and include all minimum union scale payments made to you in connection  with the production of the Audio­Visual Production Recordings, all payments  which are with the production of the Audio­Visual Recordings, all other  payments which are made pursuant to any applicable law or regulation or the  provisions of any collective bargaining agreement between us and any union or  guild (including, without limitation, payroll taxes and payments to union  pension and welfare funds), all amounts paid or incurred for studio, hall,  location or set rentals, tape film, other stock, engineering, editing, instrument  rentals and cartage, transportation and accommodations, immigration  clearances, any so­called "per diems" for any individuals (including you)  rendering services in connection with the production of the Audio­Visual  Recordings, together with all other amounts paid to incurred in connection with  the production and delivery to us of the Audio­Visual Recordings. (iii)  The Audio­Visual Recordings shall be  produced in accordance with the rules and regulations of all labor unions and  guilds having jurisdiction over the production thereof; (iv) You shall cooperate with us and our designees  fully to perform to the best of your ability in connection with the production of  the Audio­Visual Recordings; and (v) If the Audio­Visual Production Costs exceed  the budget approved by us in wiring, unless as a result of a cause solely within  our control, you shall be solely responsible for and shall promptly pay that  excess.  If, however, our demand, pay to us an amount equal to that excess.  If for  any reason you delay the commencement of or are not available for any  scheduled appearance by you relating to the production of the Audio­Visual  Recordings, you shall, upon our demand, pay to us an amount equal to the  expenses or charges paid or incurred by us by reason thereof.  We may, without  limiting our other rights and remedies, deduct the foregoing amounts from any 

monies payable by us hereunder or under any other agreement between you and  us or our affiliates; (b) Our rights in the Audio­Visual Recordings and  our rights to use you name and the name, likeness, and other identification of  you and biographical material concerning you are set forth in paragraphs 6 and 7  hereof, wherein the terms "Master Recordings" and "Phonograph Records"  include Audio­Visual Recordings and Audio­Visual Records, respectively; and (c) Audio­Visual Recordings shall not apply in  fulfillment of your Recording Commitment.  We shall have no obligation, expect  as expressly otherwise provided in this paragraph, to pay you any monies in  connection with the production of Audio­Visual Recordings. 13.  50% AV Costs Recoupable From Record Royalties One hundred percent (100%) of the Audio­Visual  Production Costs shall be recoupable from royalties payable under this Contract  on the reproduction or other exploitation of all Audio­Visual Recordings and  Audio­Visual Records.  Only fifty percent (50%) of the then­current amount of  unrecouped Audio­Visual Production Costs reflected on each accounting  statement rendered to you hereunder shall be recoupable from royalties payable  under this Contract on the reproduction or other exploitation of Masters in  Phonograph Records recording sound alone. 14.  Warranties, Representations and Covenants.

(a) You have the right and power to enter  into this Contract, to grant the rights granted by you to us hereunder, and to  perform all of the terms hereof.  Without limiting the generality of the foregoing,  no Musical Composition or any other material recorded by you shall be subject  to any re recording or other restrictions; (b) During the Term you shall become and  remain members in good standing of any labor union or guilds with which we  may at any time have an agreement lawfully requiring your membership; (c) All recording sessions for the Masters  shall be conducted in all respects in accordance with the terms of the AF or M 

Phonograph Record Labor Agreement, of the AFTRA Code for the Phonograph  Industry, and the agreement with all other labor unions and guilds having  jurisdiction over the recording of the Masters; (d) None of the following will violate or  infringe upon the rights of any person, firm or corporation, including, without  limitation, contractual rights, copyrights, rights of publicity, and rights of  privacy:  Any name or other identification used by you; and Controlled  Compositions; any other Selections, and any materials, ideas, or other properties  furnished or designated by you and embodied or contained in or used in  connection with the Masters or the packaging of or the used in connection with  the Masters or the packaging of or the advertising for the Phonograph Records  embodying the Masters; (e) All recordings embodying your  performances have heretofore been commercially released in the United States  on Phonograph Records; (f) You shall not at any time, directly or  indirectly, give or offer to give any consideration of any kind to any radio to  television station or network, to any employees thereof, or to any person, firm or  corporation controlling or influencing that station or network's programming for  the purpose of securing the broadcast or promotion of any Phonograph Records  hereunder; and (g) Except as otherwise specifically  provided herein, we shall have no obligation hereunder or otherwise to pay any  person, firm or corporation any amounts in connection with the exercise of any  of our rights hereunder, including, without limitation, our rights with respect to  the recording or exploitation of Master Recordings. 15.

Recording Restrictions.

(a) During the Term you shall not enter into  any agreement or make any commitment which would interfere with your  performance of any of the terms hereof nor shall you perform for or render  services in connection with the recording of any Master recordings for any  person, firm or corporation other than us.  After the Term, you shall not prior to  the later of the following dates ("Restriction Date") perform for any person, firm  or corporation other than us, for the purpose of making Phonograph Records or  Master Recordings, any Selection recorded hereunder or under any other  agreement between you and us or our affiliates: (i) the date five (5) years 

subsequent to the last date on which a Master Recording embodying that  Selection was delivered to us and (ii) the date two (2) years subsequent to the  date on which the Term ended; and (b) You shall not at any time manufacture,  distribute, or sell or authorize the manufacture, distribution or sale by any  person, firm or corporation other than us of Phonograph Records embodying (i)  any performances rendered by you during the Term or (ii) any performance  rendered by you after the Term of a Selection recorded hereunder if that  performance shall have been rendered prior to the Restriction Date applicable to  that Selection.  Furthermore, you shall not record or authorize or knowingly  permit to be recorded for any purpose any such performance without in each  case taking reasonable measures to prevent the manufacture, distribution or sale  at any time by any person, firm or corporation other than us of Phonograph  Records embodying that performance.  Specifically, but without limiting the  generality of the foregoing, if during the Term you perform any Selection or if  after the Term you perform any Selection prior to the Restriction Date applicable  thereto, you shall not authorize or permit that Selection to be recorded unless  pursuant to a written contact containing an express provision that neither that  performance not the recording thereof will be used directly or indirectly for the  purpose of making Phonograph records.  Upon our request, you shall promptly  deliver to us a copy of the pertinent provisions of each such contract and you  shall cooperate fully with us in any controversy which may arise or litigation  which may be instituted relating to our rights pursuant to this paragraph. (c) Notwithstanding the foregoing or  anything else to the contrary contained in this Contract, Artist may perform as a  so­called "sideman" musician or background vocalist on the recordings of  featured artists other than Artists, subject to the following conditions: (i)  Such performances shall not interfere  with the performance of any of your or Artist's obligation hereunder; (ii)  Artists may not perform a solo or  so­called "step­out" on any such recording' (iii)  Artist may not receive front­cover  album credit or credit in any advertisements placed for our on behalf of records  embodying such performance.  If we shall consent in writing, Artist may receive  credit only on album labels or liner notes of Records embodying Artist's  performances as a sideman and only in a size and placement no more prominent 

than that accorded to sidemen musician and background vocalist other than  Artists whose performances also are embodied in that record; (iv)  We shall receive customary  courtesy credit on all album liners upon which you shall receive any credit  pursuant to subparagraph (iii) above (and on all such tape labels on which any  other record company receive courtesy credit); (v)  Artists shall not be precluded from  subsequently recording for us the same Musical Compositions embodied upon  the Master Recordings in respect of which the Artists shall have performed as a  sideman; and (vi)  We shall have no financial  obligation to you, Artists or any other person, firm or corporation by reason of  that performance by Artists as a sideman musician or background vocalist. 16. Unique Services.  You expressly acknowledge that  your services hereunder are of a special, unique, intellectual and extraordinary  character which gives then peculiar value, and that in the event of a breach by  you of any them hereof, we will be caused irreparable injury which cannot  adequately be compensated by money damages.  Accordingly, we shall be  entitled to injunctive relief, in addition to any other rights or remedies which we  may have, to enforce the terms of this Contract. 17.

Certain Remedies.

  (a) We may, at our election, suspend the running  of the Term and our obligations hereunder upon written notice to you (i) if for  any reason your voice or ability to perform as an instrumentalist shall become  impaired or if you shall refuse, neglect, fail or be unable to fulfill any of your  obligations hereunder, or (ii) if as a result of an Act of God, accident, fire, labor  controversy, riot, civil commotion, act of public enemy, law, enactment, rule,  order or act of any government or governmental instrumentality, failure of  technical facilities, or failure or delay of transportation facilities, illness or  incapacity of you, or others, or other cause of a similar or dissimilar nature not  reasonably within our control, we are hampered in the recording, manufacture,  distribution or sale of Phonograph Records or our normal business operations  become commercially impractical.  A suspension shall be for the duration of any  such event or contingency, and , unless we notify you to the contrary in writing,  the Contract Period during which that event or contingency shall have  commenced shall be automatically extended by a number of days equal to the 

total number of days of which we may advise you in writing .  No suspension  shall in an manner suspend or otherwise impair our rights under this Contract. (b) If your voice or ability to perform as an  instrumentalists shall become impaired or if you shall refuse, neglect, fail, or be  unable to fulfill any of your obligations hereunder, indulging , without  limitation, your obligation to record for and deliver to us Maters within the time  periods set forth in paragraph 3 above, we may, without limiting our other rights  and remedies, terminate the Term upon written notice to you, in which event we  shall have no obligations, if any, with respect to Masters recorded prior to that  termination.  If we so terminate the Term, you shall pay us, on demand, an  amount equal to any unrecouped advances hereunder, other than any portion  thereof specially attributable to and paid in receipt of an LP delivered by you to  us in partial fulfillment of your Recording Commitment; and (c) We shall have the right, at our election and for  any reason, with or without cause, to discontinue recording sessions for any  Masters and to stop paying the Recording Costs for the Masters.  Additionally,  we shall have the right, at our election, with or without cause, to refuse to permit  you to fulfill your then current Recording Commitment for any Contract Period.  If we refuse to permit you to fulfill your minimum recording Commitment for  any Contract Period, other than as a result of any event or contingency referred  to in subdivision (a) above, we shall have no obligations or liabilities to you in  connection therewith unless within forty­five (45) days after our refusal you shall  notify us of your desire to fulfill your minimum Recording Commitment for that  Contract Period and within sixty (60) days after our receipt of that notice we shall  fail to advise you in writing that we shall permit you to fulfill you minimum  Recording Commitment for that Contract Period.  If we shall fail to so advise you  tin writing that we shall permit you to fulfill your minimum Recording  Commitment for the Contract Period, the Term shall expire as of the end of that  sixty (60) day period and we shall have no obligation or liabilities t you  whatsoever in connection with out failure to permit you to fulfill your Recording  Commitment for that Contact Period.  We shall, however, pay you promptly  after the expiration of that sixty (60) day period, as an advance recoupable form  royalties, hereunder, the amount by which the sum of the Recording Funds  pursuant to paragraph 8 hereof applicable to those LPs comprising your  minimum Recording Commitment for that Contact Period that we did not  permit you to  record exceeds the product of (i) the average Recording Costs of  the last two (2) LPs recorded and delivered hereunder in fulfillment of your  Recording Commitment, or if only one (1) LP was so recorded and delivered,  then the Recording Costs of that LP, and (ii) the number of LPs comprising your 

minimum Recording Commitment for that Contract Period that we did not  permit you to record and deliver to us. 18. Producer and Other Royalties.  We shall be solely  responsible for and shall pay all royalties and other compensations which may  be payable to any producers of the Masters or to any producers or directors of  Audio­Visual Recordings or to any other rendering services in connection with  the recording of the Masters and the production of Audio­Visual Recordings. 19.  

Definitions.

(a) The term "Audio­Visual Records" shall  mean a Phonograph Record embodying visual images; (b) The term "Audio­Visual Recording"  shall mean a Master Recording embodying visual images; (c) The term "Budget Record" shall mean a  Phonograph Record which bears a SRLP in the country in question which is  sixty­six and two­thirds (66 2/3%) or less of the SRLP in that country of top­line  percent or less of the SRLP in  that country of top­line Phonograph Records on  which recordings of the majority of our artists are initially released in that  country; (d) The term "Controlled Composition"  shall mean a Musical Composition or other Selection, written or composed by  you, in whole or in part, alone or in collaboration with others, or which is owned  or controlled, in whole or in part, directly or indirectly, by you, or any person,  firm or corporation in which you have a direct or an indirect interest; (e) The terms "Conventional Phonograph  Record," "Conventional disc and tapes," and Conventional LP" shall refer to black  vinyl disc or tape cassettes or of customary quality; (f) The term "delivery to us" or words of  similar connotation used in connection with Master Recording or Masters shall  mean delivery to our record production manager at our offices in Los Angeles,  California of all of the following:  fully­mixed, leadered, sequenced and  equalized 15 i.p.s. master tapes in proper form for the production of the parts  necessary to manufactured Phonograph Records therefrom and all consents,  approvals, copy information, credits, mechanical licenses for all Selections  recorded in those Mater Recordings or Masters and other materials and 

documents required by us to release Phonograph Records embodying those  Master Recordings or Masters and to manufacture album covers or other  packaging therefor; (g) The term "EP" shall mean a twelve (12)  inch thirty­three and a third (33 1/3) rpm or forty­five (45) rpm vinyl­disc  Phonograph Record, or its cassette tape or other equivalent or substantial  equivalent in any form or configuration, embodying no fewer than four (4)  Musical Compositions and nor more than seven (7) Musical Compositions; (h) The term "Long­Play Single" shall mean  a twelve (12) inch thirty­three and a third (33 1/3) rpm or forty five (45) rpm  vinyl disc Phonograph record, or its cassette tape or other equivalent or  substantial equivalent in any form or configuration, embodying one (1) or more  recordings of no more than three (3) different Musical Compositions; (i) The term "LP" shall mean a twelve (12)  inch thirty­three and a third (33 1/3) rpm long­playing vinyl­disc Phonograph  Record of a customary duration but no fewer than forty (40) minutes in duration,  or its cassette tape or other equivalent or substantial equivalent in any form or  configuration, and , where the context requires, Masters sufficient to constitute a  twelve (12) inch thirty three and third (33 1/3) long playing vinyl­disc  Phonograph Record of a customary duration but no fewer than forty (4) minutes  in duration, or its cassette tape or other equivalent or substantial equivalent in  any form or configuration; (j) The term "Master recording" shall mean  every form of recording (whether now know or unknown), embodying sound  alone, or sound accompanies by visual images, which may be used in the  recording, production, or manufacture of Phonograph Records; (k) The term "Master" shall mean a Master  Recording embodying your performances recorded hereunder. (l) The term "Mid­Price Record" shall mean  a Phonograph Record bearing an SRLP in the country in question in excess of  sixty­six and two thirds (66 2/3%) percent and less than eighty (80%) percent of  the SRLP in that country of top­lined Phonograph Records on which recordings  of the majority of our artists are initially released in country; (m) The term "Multiple LP" shall mean a  single package containing two (2) or more LPs, or their tape or other equivalent, 

which is sold as a single unit, and, where the context requires, Master Recordings  sufficient to constitute a single package containing two (2) or more LPs. or third  cassette tape or other equivalent or substantial equivalent in any form or  configuration, which is sold as a single unit; (n) The terms "Musical Composition" and  "Composition" shall mean a single musical composition, and for the purposes of  computing mechanical royalties hereunder, shall include a medley; (o) (i) With respect to Masters other than  Audio­Visual Recordings, the terms "Net Royalty" or "Net Flat­Fee" shall mean  the royalty or flat­fee, as the case may be, received by us from a person, firm or  corporation form the exploitation by that person, firm or corporation of rights in  those Masters, less all costs paid or incurred by us in connection with the  exploitation of those rights and the collection of those monies, less all taxes and  adjustments and less all royalties or other sums payable by us to any person,  firm or corporation in connection with the exploitation of those rights, except for  royalties or other sums payable to producers of those Masters, which shall be  borne solely by you; (ii) With respect to Audio­Visual  Recordings, the terms "Net Royalty" or "Net Flat­Fee" shall mean the royalty or  flat­fee, as the case may be, received by us from a person, firm or corporation of  rights in those Audio­Visual Recordings, less twenty percent (20%) of those  monies as a distribution fee, less all costs paid or incurred by us in connection  with the exploitation of those rights and the collection of those monies and less  all taxes and adjustments; (p) The term "Net Sales" shall mean gross  sales, less returns, credits, and reserves against anticipated returns and credits; (q) The term "Net Sales through Normal  Retail Distribution Channels" shall refer to Net Sales of Phonograph Records  hereunder through our principal distributor in the country in question for resale  through record or other retail stores for which a Record royalty is payable  hereunder after the retention of reserves (and, without limiting the generality of  the foregoing, shall exclude sales or distributions referred to in paragraph 9(b)  above; (r) The terms "Phonograph Record" and  "Record" shall mean every form of reproduction (whether now known or  unknown), embodying sound alone, or sound accompanied by visual images, 

distributed primarily for home use, school use, juke box use, and use in means of  transportation, including, without limitation, discs of any speed or size, reel­to­ reel tapes, cartridges, cassettes, or other pre­recorded tapes; (s) The term "Selection" shall mean a  Musical Composition, poem, dramatic work, comedy routine, or other verbal  expression; (t) The term "Single" shall mean a seven  inch vinyl­disc Phonograph Record or its tape or other equivalent; and  (u) The terms "Suggested Retail List Price"  and "SRLP" shall, except as otherwise herein provided, mean those suggested  retail list prices established by us or our licensees from time to time for  Phonograph Records. 20.  Indemnity.  You hereby indemnify, save, and hold us  harmless from any and all damages, liabilities, costs,  losses and expenses  (including legal costs and attorneys' fees) arising out of or connected with any  claim, demand, or action by us or by a third party which is inconsistent with any  of the warranties, representations, or covenants made by you in this Agreement.  Pending the determination and settlement of any claim, demand or action which  is inconsistent with any of the warranties, representations, covenant or  agreement made by you in this Contract, we shall have the right, at our election,  to withhold payment to you of any monies otherwise payable to you hereunder  in an amount reasonably related to the amount of that claim, demand or action at  the reasonably estimated amount of our costs and expenses in connection  therewith (including, without limitation, legal costs and attorney's fees) which  are paid or incurred by us or on our behalf to defend, respond to, negotiate or  prosecute any claim, demand or action which is inconsistent with any of your  warranties, representations, convenants or agreements hereunder from any  monies payable to you hereunder or under any other agreement to which we or  our affiliates are a party.  You indemnity hereunder shall not apply to, and you  shall not be liable for, the amount of the actual claim, demand or action which is  inconsistent with any of your warranties, representations, convenats or  agreements hereunder, however, unless the actual amount of that claim, demand  or action results in a judgment in a court of competent jurisdiction or a  settlement entered into with your prior consent, which you shall not  unreasonable withhold.  If any claim, demand, or action which is inconsistent  with any of the warranties, representations, convenants or agreements by you  hereunder results in an adverse judgment in a court of competent jurisdiction or  in a settlement entered into with the prior consent by or on behalf of you, then, 

without limiting our rights under this paragraph, you shall be solely responsible  for (and the foregoing indemnity shall apply to) all damages, costs, expenses or  other liabilities which are paid or incurred by us or on our behalf to defend,  respond to, negotiate or prosecute that claim, demand or action resulting in that  adverse judgment or settlement.  you shall reimburse us, on demand, for any  liability to us or payment made by us at any time for any expense paid or  incurred or to be paid or incurred by us in connection with any claim, demand or  action which is subject to your foregoing indemnity, or, at our election, we may  recoup or recover that amount to which your foregoing indemnity applies form  any monies payable hereunder or under any other agreement between you and  us or our affiliates.  Monies withheld from you pursuant to the foregoing  provisions of this paragraph in connection with the amount of any claim,  demand of action shall be credited to your royalty account hereunder for  payment, if  any, if and to the extend that litigation of the amount of that claim,  demand or action is not commenced in a court of competent jurisdiction within  one (1) year after the end of the semiannual accounting period during which  those monies are initially withheld (subject you our future, additional  withholding if litigation of the amount of that claim, demand or action is actually  commenced).  If and to the extent you provide us with indemnity  or surety bond  in a form and an amount and with a company acceptable to us in connection  with the amount of any claim, demand or action subject to your foregoing  indemnity, then we shall not withhold monies from you pursuant to the  foregoing provisions of this paragraph as a result of that claim, demand or  action. 21.  Assignment.  We shall have the right, at our election, to  assign this Contract or any of our rights hereunder, in whole or in part, or to  delegate any of our obligations hereunder, in whole or in part, to any person,  firm or corporation, including, without limitation, Tabu Productions, Inc. and  A&M Records, Inc.  You shall not have the right to assign this Contact or any of  your rights hereunder or to delegate any of your obligations hereunder. 22.  Notices.  All notices to be given to you hereunder and all  statements and payments to be sent to you hereunder shall be addressed to you a  t the address set forth on page 1 hereof or at such other address as you shall  designate in writing form time to time.  All notices to be given to us hereunder  shall be addressed to us at the address set forth on page 1 hereof or at such other  address as we shall designate in writing from time to time.  All notices shall be in  writing and shall either be served by personal delivery, mail, telegraph or telex,  all charges are prepaid.  Except as otherwise provided herein, notices shall be  deemed given when personally delivered, mailed delivered at a telegraph office, 

or transmitted by telex, all charges prepaid expect that notices of change of  address shall be effective only after actual receipt. 23.

Miscellaneous.

(a) This Contract sets forth your and our entire  understanding relating to its subject matter.  No modification, amendment,  waiver, termination or discharge of this Contract or of any its terms shall be  binding upon either of us unless confirmed by a document signed by you or us  of any term of this Contract or of any default hereunder shall affect your or our  respective rights thereafter to enforce that term or to exercise any right or  remedy in the event of any other default, whether or not similar; (b) We shall not be deemed to be in breach of any  of our obligations hereunder unless and until you shall have given us specific  written notice by certified or registered mail, return receipt requested, describing  in detail the breach and we shall have failed to cure that breach within thirty (30)  days after our receipt of that written notice; (c) Our payment obligations under this Contract  are conditioned upon your full and faithful performance of the material terms  hereof; (d) Wherever your approval of counsel in required  hereunder, that approval or consent shall not be unreasonably withheld.  We  may require you to formally give or withhold approval or consent by giving you  notice of our request that you do so and by furnishing you with the information  or material in respect of which the approval or consent is sought.  You shall give  us written notice of your approval or disapproval or of your consent or non­ consent within five (5) days after our notice is sent and in the event of your  disapproval or non­consent your notice shall contain the specific reasons  therefor.  You failure to us notice as aforesaid shall be deemed to be consent or  approval, as the case may be, with respect to the matter submitted.  In the event  the word "you" includes members of a group, then, at our election, any member  of the group shall have the right to give approval or consent on behalf of the  entire group; (e) Nothing herein contained shall constitute a  partnership or a joint venture between you and us.  Except as otherwise  expressly provided herein, you are performing your obligations hereunder as  independent contractors.  Neither party hereto shall hold itself our contrary to 

the terms of this subdivision, and neither you nor we shall become liable for any  representation, act or omission of the other contrary to the provisions hereof; (f) This Contract shall not be deemed to give any  right or remedy to any third party whatsoever unless that right or remedy is  specifically granted by us in writing to that third party; (g) The provisions of any applicable collective  bargaining agreement between us and any labor union or guild which are  required by the terms of that agreement to be included in this contract shall be  deemed incorporated herein as if those provisions were expressly set forth in this  Contract; (h) In the event of any action, suit, or proceeding  arising from or based upon this Contract brought by either party hereto against  the other, the prevailing party shall be entitled to recover from the other its  attorneys' fees in connection therewith in addition to the costs of that action, suit,  or proceeding; (i) Expect as otherwise expressly provided herein  all rights and remedies herein otherwise shall be cumulative and non of them  shall be in limitation of any other right or remedy; (j) This Contract has been entered into in the State  of California and its validity, construction, interpretation and legal effect shall be  governed by the laws of the State of California applicable to contracts entered  into and performed entirely within the State of California.  The venue for any  action, suit or proceeding arising from or based upon this Contract shall be the  appropriate courts located in the County of Los Angeles in the State of  California.  Accordingly, you and we agree that any action, suite or proceeding  arising from or based upon this Contract shall be commenced in and determined  by those appropriate courts located in the County of Los Angeles in the State of  California.  In connection with the foregoing, you and we each agree to submit to  and be bound by the jurisdiction of the appropriate courts located in the County  of Los Angeles in the State of California; (k) This Contract shall not become effective until  signed by you and countersigned by a duly authorized officer of ours; (l) The paragraph headings herein are solely for  the purpose of convenience and shall be disregarded completely in the  interpretation of this Contract or any of its terms;

(m) We may at any time during the Term obtain, at  our cost, insurance on the lives of one (1) or more of you.  We or our designees  shall be the sole beneficiary of that insurance and neither you, nor any member  of you, nor any person, firm or corporation claiming rights through or from you  shall have any rights in that insurance.  You shall cause such members of you as  we may designate to submit to such physical examinations and to complete and  deliver such forms as we may reasonably require and otherwise to cooperate  with us fully for the purpose of enabling us to secure that insurance; (n) Upon our request, you shall render you  services at such times and places as we may reasonably designate for the  purpose of assisting us in the marketing, advertising and portion of Phonograph  Records hereunder.  Among those services are engaging in interviews,  participating in press conferences, posing at photography sessions and appearing  on television and radio shows.  If we pay or incur any costs in connection with  your services pursuant to this subparagraph ("Promotional Services Costs") those  Promotional Services Costs shall not be recoupable from royalties earned by you  hereunder.  If, however, any third party pays to you any fee or the consideration  for or in connection with your services pursuant to this subparagraph (such as,  but not limited to, a television appearance fee) and we pay or incur any  Promotional Services Costs, then, you shall pay to us all such fees and other  consideration to the extent of our Promotional Services Costs.  If you fail for any  reason to pay to us those fees to the extent of our Promotional Services Costs,  then, at our election, the amount of all such fees received by you from third  parties in connection equal to our advances recoupable from any and all monies  payable to you pursuant to this Contract; (o) You shall not render any services to our  authorize or permit you name or likeness or any biographical material  concerning you to be used in any manner by any person, firm or corporation in  the advertising, promoting or mastering of blank magnetic recording tape,  digital audio tape or any other product or device intended primarily for home  use, whether now known or hereafter developed, which may be used for the  fixation sound alone or sound together with visual images; (p) You acknowledge and agree that you have  been represented by independent counsel or have had the unrestricted  opportunity to be represented by independent legal counsel of you own choice  for purposes of advising you in connection with the negotiation and execution of  this Contract.  Additionally, you acknowledge and agree that either you or your  independent legal counsel have had the opportunity to investigate and inquire 

about all of the relevant facts and circumstances in connection with you entering  into and executing this Contract.  If you have not been represented by  independent legal counsel of you own choice for purpose of advising you in  connection with the negotiation and execution of this Contract was determined  solely by you, without any interference by us or any person, firm or corporation  related to us; and (q) The provisions of the Immigration Reform and  Control Act ("IRCA") are mandatory.  You agree to complete the Immigration  and Naturalization and Service Form I­9 ("Employment Eligibility Verification  Form") no later than concurrently with your execution of this contract.  You  expressly acknowledge and agree that any and all payments to or on behalf of  you under this Contract are conditioned upon you delivery to us completed  Immigration and Naturalization and Services From I­9 ("Employment Eligibility  Verification Form").  This provision shall not in any way modify or alter the fact  that you are performing your obligations hereunder as an independent  contractor (except as expressly otherwise provided in this Contract). 24.  Leaving Member Provision. (a) The term "you" as used in this Contract  refers individually and collectively to the members of that group (whether  presently or hereafter signatories to or otherwise bound by the terms of this  Contract) currently professionally known as "UNCLE OTTO" ("Group").  A  breach of any term of this Contract or a disaffrimance or attempted disaffirmance  of this contract on the ground of minority by or with respect to any member of  the Group shall, at our election, be a breach by or with respect to the entire  Group; (b) Individuals in addition to those  presently members of the Group may become members of the Group only with  our prior written approval.  Additional members shall be bound by the terms of  this Contract relating to you and you shall cause any additional member to  execute and deliver to us such documents as we may deem necessary or  desirable to evidence that individual's agreement to be so bound.  You shall not,  without our prior written consent, record any Master Recordings embodying the  performances of an additional member prior to your delivery to us of those  documents, and, if you do so, those Master Recording, if we so elect, shall not  apply towards the fulfillment of your  Recording Commitment; (c) The term "Leaving Member" shall mean  an individual member of the Group who ceases to record as a member of the 

Group, and to engage in other professional activities of the Group.  If any  individual member of the Group shall become a Leaving Member, you shall  promptly give us written notice thereof by certified or registered mail, return  receipt requested.  You shall designate a replacement member for that Leaving  Member and we shall have the right to approve of that replacement member.  The replacement member shall be bound by the terms of this Contract relating to  you and you shall cause a replacement member to execute and to deliver to us  such documents as we may deem necessary of desirable to evidence that  replacement member's agreement to be so bound.  You shall not, without our  prior written consent, record any Master Recordings embodying the  performances of a replacement member prior to your delivery to us of those  documents, and if you do so, those Master Recordings, if we so elect, shall not  apply towards the fulfillment of your Recording Commitment; (d)  (i) We shall have the irrevocable option for the  exclusive recording services of any Leaving Member.  We may exercise our  option by written notice to the Leaving Member no later than one hundred  twenty (120) days after the date upon which we shall have received the written  notice required to be sent by you and referred to in subparagraph (c) above.  If  we shall so exercise our option with respect to any Leaving Member, that  Leaving Member shall be deemed to have executed an exclusive recording  contract with us )a "Recording Contract") pursuant to which that Leaving  Member shall render his or her exclusive recording services to us on the same  terms contained in this Contract, except as otherwise hereinafter provided: (A) The term of a Leaving Members Contract shall consist  of an Initial Period commencing as of the date of our written notice to that  Leaving Member pursuant to the preceding provisions of this subparagraph (d)  and shall continue until the late of (i) the date eighteen (18) months after the date  of commencement of that Initial Period and (ii) the date two hundred forty (240)  days, or such fewer number of days of which we may notify the Leaving  Member in writing, after the Leaving Member's delivery to us during the Initial  Period.  We shall have the same number of options, each to extend the Term of  the Leaving Member Contract for a Renewal Period, as equal the number of  separate renewal options remaining under this Contract pursuant to paragraph 2  above as of the date that individual became a Leaving Member, but in no event  shall be have fewer than two (2) renewal options.  Each Renewal Period under  the Leaving Member Contract shall run consecutively and shall commence upon  the expiration of the immediately preceding Contract Period thereunder and  shall continue until the later (i) the date eighteen (18) months after the date of  commencement of that Renewal Period and (ii) the date two hundred forty (240)  days, or such fewer number of days of which we may notify the Leaving member 

in writing, after the Leaving Member's delivery to us of the last Master  Recordings required to be delivered thereunder to us during that Renewal  Period.   We may exercise each option by giving the Leaving Member written  notice of our election to do so at any time prior to the commencement of the  Renewal Period for which it is exercised; (B) During the Initial Period and each Renewal  Period of the Leaving Member Contract, the Leaving Member shall record and  deliver to us, at such times as we shall designate or approve, at a minimum, six  (6) Master Recordings embodying the Leaving Member's performances, but in no  event shall the Leaving Member be required to record for or deliver to us in  excess of twenty­four (24) Master recordings during the Initial Period or during  any Renewal Period of the Leaving Member Contract; (C) The advances and Recording Funds, if any, set  forth in paragraph 8 above, if any, shall apply to the Master Recordings recorded  by a Leaving Member under a Leaving Member Contract but shall be reduced by  twenty­five percent (25%) thereof under each such Leaving Member Contract.  The first LP delivered to us in fulfillment of the Recording Commitment under a  Leaving Member Contract, however, shall be deemed to be the "First LP" for all  purposes, including, without limitation, royalties, advances and recording funds  under the Leaving Member Contact for purposes of that first LP; (D) With respect to Master Recordings embodying  the performances of Leaving Member recorded pursuant to a Leaving Member  Contact, the royalty rates pursuant to paragraph 9 above shall be deemed to be  reduced by fifteen percent (15%) thereof; (E) An amount equal to a fraction of all  unrecouped advances or charges against royalties pursuant to this Contact as of  the date of the commencement of a Leaving Member Contact shall constitute an  advance recoupable form royalties payable by us under that Leaving Member  Contact, the numerator of which is the number of Leaving Members subject to a  particular Leaving Member Contract and the denominatorty of which is the total  number of you immediately before the effective date of the commencement of  that Leaving Member Contract; and (ii) At our request, you shall cause any Leaving Member  to execute and deliver to us any and all documents as we may deem necessary or  desirable to us any and all documents as we may deem necessary or desirable to  evidence the foregoing, including, without limitation, and exclusive recording  contract with us relating to that Leaving Member's recording services;

(e) Notwithstanding any of the foregoing, if any  member of the Group shall be a Leaving Member or if the Group Shall  completely disband, we may, without limiting our other rights and remedies,  terminate this Contract by written notice to you and shall thereby be relived of  any obligations or liabilities hereunder, except our obligations with respect to  Masters recorded prior to that termination.  In the event we elect to so terminate  this Contact, subparagraph (d) above shall be applicable to each member of the  Group as if each member were a leaving Member; (f) If any member of the Group shall become a  Leaving Member, that member shall  not have the right thereafter during the  Term to use any name utilizing by the Group or any name similarly thereto.  Without limiting the generality of the foregoing, that member shall not, in  connection with any of his or her processional activities, use the phrase (formerly  a member of ["any name used by the Group"] or any similar expression; and  (g) Notices to a Leaving Member may be sent by  us to your address above, or at such other address of which that Leaving  Member shall have advised us in writing. (h) In the event the Group disbands, each member  of the Group shall be deemed a Leaving Member. 25.  Release Commitment.  We shall initially release in the  United States each LP delivered to us in fulfillment of your Recording  Commitment not later than one hundred fifty (150) days after the date on which  you complete your delivery t us of that LP as and when required hereunder  ("Release Period").  No days between November 1 and January 15 of the  immediately­succeeding calendar year shall be considered to calculate the  duration of a Release Period.  If we fail initially to release an LP delivered to us in  fulfillment of your Recording Commitment during the Release Period, your sole  remedy shall be to notify us in writing referring to this paragraph by certified or  registered mail, return receipt requested, of that failure not later than thirty (30)  days after the end of that Release Period and of your desire that the Term of this  Contract be terminated if we do not within ninety (90) days after our receipt of  that notice initially release that LP in the United States.  If we initially release that  LP within that ninety (90) day period after our receipt of your notice regarding  that LP, we shall be deemed to have released that LP as aforesaid during the  Release Period.  If we fail to initially release in the United States that LP subject  to your notice within the Release Period for that LP, then we shall have no  liabilities or obligations to you in connection therewith hereunder or otherwise 

and the Term of this Contact shall terminate as of the end of that ninety (90) day  period after our receipt of that notice from you concerning the unreleased LP. 26.  Minimal Annual Compensation. (a) Company hereby guarantees that the aggregate  amount of the compensation paid to you, and each of you, under this agreement  will not be less than:

(i)

Nine Thousand Dollars ($9,000) per 

(ii) Twelve Thousand Dollars ($12,000) per  annum for the second year hereof; and (iii) Fifteen Thousand Dollars ($15,000.00)  per annum for the third to seventh years, inclusive, hereof. (b) In addition, after the third year hereof,  Company shall actually pay to you for the services thorough and including any  contract year during which Company may seek injunctive relief over and above  the minimum contractual compensation specified above, the amount of: (i)  Fifteen Thousand Dollars ($15,000.00)  per annum during the forth and fifth years hereof; and (ii) Thirty Thousand Dollars ($30,000.00)  during the sixth and seventh years hereof. (c) As a condition to petitioning for an injunction,  amounts payable under subparagraph (b) above any be paid at any time prior to  seeking injunctive relief. (d) Compensation paid in any contact year in  excess of the above minimums shall apply to reduce the compensation otherwise  required to be paid under those provisions in any subsequent contact years. (e) If you have not received minimum  compensation of at least the amounts provided for in subparagraph (a) above,  Company shall pay you the amount of the deficiency before the end of the  applicable per annum period.  You must notify us if you have not received  compensation of said applicable minimum amount (s).  Such notice may be given 

no earlier than sixty (60) days or later than twenty (20) days prior to the  expiration of the contract year concerned.  Upon receipt of such notice Company  will pay (prior to the end of the contract year concerned) the difference between  such minimum compensation and the amount paid by you prior to the  expiration of such contract year concerned.  Any such payments Company  makes shall be credited against any monies otherwise payable to you hereunder,  as well as from any amounts payable in respect of Controlled Compositions  pursuant to the terms hereof.  Company's failure to make such payment shall not  constitute a waiver of its rights hereunder or relive you of your obligations  hereunder. (g) If California law is hereafter changed to  provide for a different minimum compensation requirement than as provided  herein and/or as now required pursuant to California Civil Code Section 3423,  California Code of Civil Procedure Section 526, and any other applicable statutes  and laws as a requisite for injunctive relief, then Company shall have the right,  exercisable by notice to you within one hundred eighty (180) days after the  effective date of such change (or any shorter period provided by applicable law),  to amend the aforesaid references to such new figure as of the effective date of  such change with respect to you as Company shall designate.

(h) The purpose of this Article 26 being included  herein is to preserve Company's right to seek injunctive relief to prevent the  breach of this contract by you; and accordingly, it is you and Company's mutual  intention that your Company's such agreement be interpreted and constituted in  such a manner as to comply with the provisions of the Statute concerning the  availability of injunctive relief to prevent the breach of a contract in writing for  the rendition of personal services.  Accordingly, you acknowledge and confirm  that your and Company's such agreement is intended to solely preserve  Company's right to seek injunctive relief to prevent the breach of this contract by  you.
